Upgrade Offer definition

Upgrade Offer means the Annual Upgrade Offer or any other upgrade offer extended by Verizon Wireless to an existing Obligor under which such Obligor can upgrade a Device that is the subject of a device payment plan agreement if the terms and conditions specified in such offer are satisfied.

  • There is no right of rescission, setoff, counterclaim or defense asserted or threatened against any of the Receivables, including by reason of the Marketing Agent’s failure to make, or to cause the related Originator to make, any Upgrade Payments related to an Upgrade Offer.

Related to Upgrade Offer

  • Asset Sale Offer shall have the meaning specified in Section 4.14.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • First Offer Period has the meaning set forth in Section 13.5.

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Offer Period has the meaning given such term in Section 4.1.

  • Repurchase Offer has the meaning set forth in Section 3.04.

  • Offer Deadline means the exact date and time when no Offer submitted thereafter may be considered or accepted by District.

  • Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Permitted Debt Exchange Offer shall have the meaning provided in Section 2.15(a).

  • Term SOFR Replacement Date has the meaning specified in Section 3.03(b).

  • Change of Control Offer has the meaning provided in Section 4.15.

  • Extension Offer has the meaning specified in Section 2.15(a).
