U.S. Affiliate definition

U.S. Affiliate means an Agent’s duly registered broker-deal affiliate in the United States;
U.S. Affiliate means a duly registered U.S. broker-dealer affiliate of an Underwriter;
U.S. Affiliate of any Underwriter means the U.S. registered broker-dealer affiliate of such Underwriter;

  • Claims arising or raised in the United States will be governed by the laws of the state where Customer US Affiliate is headquartered, excluding rules as to choice and conflict of law.

  • Each Underwriter, on its own behalf and on behalf of its U.S. Affiliate, acknowledges that the Offered Units have not been and will not be registered under the U.S. Securities Act and may not be offered or sold within the United States, except pursuant to an exemption from the registration requirements of the U.S. Securities Act.

U.S. Affiliate means the U.S. registered broker-dealer affiliate of an Underwriter;

U.S. Affiliate means the United States registered broker-dealer affiliate of the Agent; "U.S. Person" has the meaning ascribed to such term in Rule 902(k) of Regulation S; and "U.S. Securities Act" means the United States Securities Act of 1933, as amended.
