Variable Expenses definition

Variable Expenses shall have the meaning set forth in Section 5.1.11(d) hereof.
Variable Expenses means, with respect to any month, all costs and expenses incurred in connection with the possession and use of the Aircraft during such month other than Fixed Costs, and shall include, without limitation, those costs and expenses of the type which are reflected as "Variable Expenses" on Exhibit A.

More Definitions of Variable Expenses

Variable Expenses means the amount of out of pocket expenses incurred by the Township in excess of Maximum Base Expenses, but only to the extent funds are available from the available funds after completion of the Parking Garage, including, without limitation, contingency funds raised after the date hereof, RACP Grants and other public funds in excess of the Sufficient Amount required for the Cricket Project and payment to Dranoff of its fee of at least 3%. (b) Other than as stated above and as limited by this Term Sheet, the expenses section in the existing Development Agreement (Section 5.1) shall remain substantially the same.

Additionally, the approved Operating Plan and Budget and Capital Budget may be revised by Manager during the Operating Year without Corporation approval but with written notice to Corporation, as necessary to include: (i) unforeseen increases to budgeted expense categories which are beyond Manager's reasonable control, such as utility rates and charges, insurance premiums and changes in unaffiliated suppliers' prices; (ii) expenditures reasonably required on an emergency basis in order to protect life, health, safety, or property in cases of emergency or casualty; (iii) expenditures reasonably required to preserve and maintain the security and reliability of Manager's information technology systems in response to any unforeseen or unanticipated cybersecurity threats in accordance with Hilton Brand Standards; and (iv) expenditures required to comply with a change in Legal Requirements.
Variable Expenses. The variable management fees as detailed in article 7.5 below.
