Vested RSUs definition

Vested RSUs means any portion of the RSUs subject to this Agreement that are and have become vested pursuant to this Section 2.

Vested RSUs means those RSUs which have become vested pursuant to Section 3 or otherwise pursuant to the Plan or this Award Agreement.

Vested RSUs means those Award RSUs that have fully vested in accordance with the time-based vesting conditions of Section 3(c) or have vested on an accelerated basis under Section 4.

Examples of Vested RSUs in a sentence

• Vested RSUs may be exercised at the option of the Participant and shall be settled in Ordinary Shares.

• The Company shall, on or within 30 days following a Vesting Date, deliver (or cause delivery to be made) to the Participant the Shares underlying the RSUs that vest and become Vested RSUs on such Vesting Date.

• Except as otherwise set forth in Sections 4(b), 4(c), 4(d) or 4(f), in the event the Participant’s Services with the Company and its Affiliates are terminated for any reason, the Company shall within 30 days following the date of such termination, deliver (or cause delivery of) Shares to the Participant in respect of any then outstanding Vested RSUs.

• Upon the occurrence of a Qualifying Event, the Company shall, within 30 days following the date of such event, deliver (or cause 3 delivery of) Shares to the Participant in respect of 100% of the RSUs which vest and become Vested RSUs on such date.

• Upon the Participant’s Retirement, the Company shall, on each subsequent Vesting Date, deliver (or cause delivery of) Shares to the Participant in respect of the RSUs which vest and have become Vested RSUs on such date.

More Definitions of Vested RSUs

Vested RSUs means those RSUs which have become vested (x) determined by multiplying the Target RSU Award by the Performance Multiplier for the Performance Period pursuant to Exhibit A or (y) otherwise pursuant to the Plan or this Award Agreement. For the avoidance of doubt, the Vested RSUs may be a number lesser than or greater than the Target RSU Award.

Vested RSUs. Subject to Participant’s continued Service through the applicable “Vesting Date” (except in the event of Participant’s death as provided below), Earned RSUs shall vest, if at all, and become “Vested RSUs” as follows: Vesting Date July 5, 2012 July 5, 2013 July 5, 2014 Vested RSUs 1/3 of Earned RSUs 1/3 of Earned RSUs 1/3 of Earned RSUs Share Issuance Schedule: Each Vested RSU shall be settled by issuance to Participant of one (1) Share as soon as practicable following the applicable Vesting Date, but in no event later than the close of the calendar year in which such Vesting Date occurs or (if later) the fifteenth (15th) day of the third (3rd) calendar month following such Vesting Date. The settlement of Vested RSUs by issuance of Shares shall be subject to the Company’s collection of all applicable Withholding Taxes (as defined below). The procedures pursuant to which the applicable Withholding Taxes are to be collected are set forth in Section 6 of this Agreement. In no event, however, shall any fractional Shares be issued. Accordingly, the total number of Shares to be issued pursuant to the Award shall, to the extent necessary, be rounded down to the next whole Share in order to avoid the issuance of a fractional Share.

Vested RSUs means, on a given date, the number of RSUs that are then vested, but for which Shares have not yet been delivered.

Vested RSUs means as of any date the portion of the RSUs that have vested under this Section 3 on or before such date.

Vested RSUs means, on a given date, the number of RSUs which are then vested and outstanding as of such date.

Vested RSUs means any portion of the RSUs subject to this Agreement that is and has become vested pursuant to this Section 2 or Section 6 of the 2016 Plan.

Vested RSUs means any Company Restricted Stock Units that are vested immediately prior to the Effective Time or that vest pursuant to their terms or Section 3.4 hereof in connection with the consummation of any of the Mergers.
