Warrant Certificates definition

Warrant Certificates has the meaning specified in Section 2.1 hereof.

Warrant Certificates means the certificates representing Warrants substantially in the form attached as Schedule "A" hereto or such other form as may be approved by the Company and the Warrant Agent;

Warrant Certificates means the certificates representing the Warrants.

Examples of Warrant Certificates in a sentence

• Whenever any fraction of a share of Common Stock would otherwise be required to be issued or distributed, the actual issuance or distribution in respect thereof shall be made in accordance with Section 2(d)(v) of the applicable Warrant Certificates.

• The Warrant Certificates shall be countersigned by an authorized signatory of the Warrant Agent, which need not be the same signatory for all of the Warrant Certificates, and no Warrant Certificate shall be valid for any purpose unless so countersigned.

• The Company shall not issue fractions of Warrants or distribute a Global Certificate or Warrant Certificates that evidence fractional Warrants.

• The Warrant Agent may charge the Holder an administrative fee for processing the replacement of lost Warrant Certificates, which shall be charged only once in instances where a single surety bond obtained covers multiple certificates.

• In the case of the Holder of a Global Certificate, the Holder shall deliver the executed Notice of Exercise and payment of the Exercise Price pursuant to Section 2(a) and Section 2(b) of the Warrant Certificates (other than in the case of a Cashless Exercise).

More Definitions of Warrant Certificates

Warrant Certificates has the meaning set forth in Section 3 hereof;

Warrant Certificates means the certificates representing the Warrants;

Warrant Certificates means those certain warrant certificates evidencing the Warrants, substantially in the form set forth in Exhibit A attached hereto, which, for the avoidance of doubt, are either Global Warrant Certificates or Definitive Warrant Certificates.

Warrant Certificates means the certificates (in registered form) to be issued in respect of the Warrants in or substantially in the form set out in Schedule 1 of the Deed Poll as may from time to time modified in accordance with the Conditions;

Warrant Certificates means the certificates evidencing the Warrants to be delivered pursuant to this Agreement, substantially in the form of Exhibit A hereto.

Warrant Certificates mean the registered certificates (including without limitation, the global certificates) issued by the Company under this Agreement representing the Warrants.

Warrant Certificates means those certain warrant certificates evidencing the Warrants, substantially in the form of Exhibit A attached hereto.
