1Cooperation. The Parties will work cooperatively in a commercially reasonable manner to install and maintain a reliable network. CTI and Verizon will exchange appropriate information (e.g., network information, maintenance contact numbers, escalation procedures, and information required to comply with requirements of law enforcement and national security agencies) to achieve this desired reliability. In addition, the Parties will work cooperatively in a commercially reasonable manner to apply sound network management principles to alleviate or to prevent traffic congestion and subject to Section 17, to minimize fraud associated with third number billed calls, calling card calls, and other services related to this Agreement.
1Cooperation. Prior to the Closing and for a period of three (3) months following the Closing, Buyer, Seller and Shareholder shall cooperate with each other, and shall use their commercially reasonable efforts to cause their respective Representatives to cooperate with each other, to provide an orderly transition of the Transferred Assets from Seller to Buyer and Shareholder and to minimize the disruption to the design, sourcing, merchandising, sale and marketing of products under the Trademarks by Buyer and Shareholder resulting from the transactions contemplated hereby.

If any claims, demands, lawsuits or other legal proceeding, which arise out of any of the matters relating to this Agreement, be made or instituted by any person against either Owner or Agent, Owner or Agent shall give to each other all pertinent information and reasonable assistance in the defense or other disposition thereof, at its sole expense.
