1Effective Date. This Agreement shall become effective upon execution by the Parties, subject to acceptance by FERC, or if filed unexecuted, upon the date specified by FERC. The NYISO and Connecting Transmission Owner shall promptly file this Agreement with FERC upon execution in accordance with Article 3.1.

This Agreement may be terminated by the Custodian or the Company pursuant to Section 10.2.

Subject to acceptance by the FERC, and in accordance with the terms of a January 15, 2010 letter agreement between the Parties, this Agreement shall be effective as of January 16, 2010. The Transmission Owner shall promptly file this Agreement with FERC upon execution in accordance with Article 3.1.
