A pplicable Law. U.S. Federal law governs this Agreement for all purposes, including, but not limited to, determining the validity of the Agreement, the meaning of its provisions, and the rights, obligations and remedies of the Parties.
A pplicable Law. The validity, enforceability and interpretation of Addendum shall be governed by HIPAA, the HITECH Act and their implementing regulations, and the laws of the Commonwealth of Virginia, without giving effect to any conflict-of-laws principles.
A pplicable Law. This Guaranty and the rights and obligations of the parties hereunder shall be governed by and interpreted in accordance with the internal laws, and not the law of conflicts, of the State of New Mexico. The parties intend that proper venue for any action, suit or proceeding arising pursuant to this Guaranty will be in Bernalillo County, New Mexico, exclusively. Each party agrees that any action, suit or proceeding will be brought before a state of federal court sitting in Albuquerque, New Mexico, and waives any objection to venue in that court.
A pplicable Law. This Agreement is made in the State of Colorado. This Agreement and all of the parties’ respective rights and duties, including, without limitation, claims for violation of state consumer protection laws, unfair competition laws, and any claims in tort shall be governed by and construed in accordance with the laws of the State of Colorado, in the United States, excluding conflicts of law provisions.
A pplicable Law. The terms of this Agreement shall be construed in accordance with the laws of the State of New York.
A pplicable Law. This MDA is entered into in the State of Utah and shall be construed in accordance with the laws of the State of Utah irrespective of Utah’s choice of law rules.
A pplicable Law. This addendum shall be interpreted, enforced and governed by and under the laws of the State of California without regard to its principles of conflicts of law.
A pplicable Law. This Agreement shall be governed by the laws of the State of California as such laws are applied to agreements between California residents entered into and to be performed entirely within the State of California.
A pplicable Law. This Agreement shall be governed by the Laws of the State of Florida.
A pplicable Law. The rights and obligations of the Parties under this Agreement shall not be governed by the provisions of the 1980 United Nations Convention on Contracts for the International Sale of Goods or the United Nations Convention on the Limitation Period in the International Sale of Goods, as amended. This Agreement shall be governed by and construed in accordance with the laws of the State of California, exclusive of choice of law rules. Both Parties agree to submit exclusively to the personal jurisdiction of the applicable Federal or State court in Los Angeles County, California.
