ACCEPTANCE OF CONTRIBUTIONS. Subject to satisfaction of the conditions listed or referred to in Section 7, Operating Partnership hereby agrees that at the Closing it shall accept or, at its election, cause a Designated Subsidiary to accept all or part of, the Contributions and shall assume any and all rights, obligations and responsibilities of Contributors as owners of the Contributed Interests that arise subsequent to the Closing Date.

ACCEPTANCE OF CONTRIBUTIONS. The Custodian may accept contributions by check or compensation deduction as deposits to the Custodial Account from or on behalf of Participant, except as limited by paragraphs 3.2 and 3.3 of this Article.
ACCEPTANCE OF CONTRIBUTIONS. Contributions must be in cash (except for rollovers, transfers or recharacterizations (as defined in Code Section 408A(d)(6))) from or on behalf of the Participant, subject to the limitations and requirements of this Article III.

(b) A Contribution, transfer, exchange or rollover is received in good order if it is requested by Plan Administrator or Participant, submitted with all required information including, but not limited to, designation of the Mutual Fund or Mutual Funds to be held in the Custodial Account; and remitted consistent with the requirements of the Program Coordinator and/or Matrix. (c) Contributions received in good order by Matrix by 4:00 p.m. Eastern Time are credited to the Custodial Account no later than the second Business Day following the day of receipt. Contributions in good order received by Matrix after 4:00 p.m. Eastern Time, but before midnight, will be deemed received on the next Business Day. (d) Contributions not received in good order will be deemed received as of the Business Day on which the requirements of subsection (b) are satisfied. None of Program Coordinator, Recordkeeper or Matrix shall have any responsibility, obligation, or liability with respect to Contributions not received in good order other than to return the amount of the Contributions.

ACCEPTANCE OF CONTRIBUTIONS. As of the Original Limited Partnership Effective Date, the Partnership has accepted the assets contributed by WTLPS, DMSLP, CPL and CRR, and assumed all responsibilities and obligations associated therewith accruing after such date. As of the Amended Partnership Effective Date, the Partnership has accepted the MAPL Gathering System and Other Contributions and assumed all responsibilities and obligations associated therewith accruing after the Amended Partnership Effective Date. Notwithstanding the foregoing, nothing herein shall limit, supercede or replace the obligations by and among the Partners as set forth in contribution agreements, indemnity agreements or any other written agreements, written representations and/or warranties between or among the Partners and/or any of their Affiliates pertaining to any liabilities and the allocation of same respecting the assets contributed to the Partnership by the Partners hereunder.
ACCEPTANCE OF CONTRIBUTIONS. No purported contribution is to be treated or considered as a contribution, unless: (1) the Board accepts the contribution on behalf of the Company and in that acceptance: (a) describes the contribution, including terms of future performance, if any; and (b) states the value being accorded to the contribution; and (2) the fact of the contribution and the contribution’s accorded value are both reflected in the member control agreement and statement of contributions accepted and in any other required records of the Company.
