Access and Audit. 16.1 The Supplier shall keep accurate and systematic accounts, files and records ("the Records"). The Records shall clearly identify, among other things, the basis upon which invoices have been calculated and the Supplier shall keep the Records throughout the duration of this Contract and for six years following its termination. 16.2 The Supplier shall upon request provide DFID or its representatives including the National Audit Office, unrestricted access to the Records in order that the Records may be inspected and copied. The Supplier shall co-operate fully in providing to DFID or its representative’s answers to such enquiries as may be made about the Records. 16.3 Where it is found by DFID that any overpayment has been made to the Supplier the Supplier shall reimburse DFID such amount within 28 days of the date of DFID's written demand.

Access and Audit. The Owner shall have reasonable access to all books, documents, papers, and records of the Design Professional concerning the Project in order to make audit examinations, excerpts, and transcripts relative to this Contract. Records of reimbursable expenses and expenses pertaining to services performed shall be kept on the basis of generally accepted accounting principles and shall be available to the Owner’s representative at mutually convenient times, but in no event more than 72 hours after a written request from Owner.
Access and Audit. At the request of the OAG, GRANTEE shall grant access to and make available all paper and electronic records, books, documents, accounting procedures, practices, and any other items relevant to the performance of this Grant Contract, compliance with applicable state or federal laws and regulations, and the operation and management of GRANTEE to the OAG or its designees for the purposes of inspecting, auditing, or copying such items. GRANTEE will direct any other entity, person, or contractor receiving funds directly under this Grant Contract or through a subcontract under this Grant Contract to likewise permit access to, inspection of, and reproduction of all books, records, and other relevant information of the entity, person, or contractor(s) that pertain to this Grant Contract. All records, books, documents, accounting procedures, practices, and any other items, in whatever form, relevant to the performance of this Grant Contract, shall be subject to examination or audit. Whenever practical as determined at the sole discretion of the OAG, the OAG shall provide GRANTEE with up to five (5) business daysnotice of any such examination or audit.

Access and Audit. Genesys agrees to provide the Customer and the Customer’s statutory auditor with: (a) full access to its business premises, and (b) rights of inspection and auditing related to the Genesys Services. The following conditions apply: i. The Customer will exercise such rights in a risk-based and proportional manner considering the nature of the Genesys Services. ii. The Customer may appoint a third party to perform such audits, provided that Customer can verify the third-party has the necessary skills and knowledge to perform the audit effectively. iii. The Customer must provide written notice in a reasonable time period prior to an on-site visit. iv. If Customer’s audit rights could risk another Genesys customer’s data or services, Genesys and the Customer will agree on an alternate means to provide necessary assurances. v. When possible, the Customer will rely on certifications, reports, and attestations in place of an audit.

Access and Audit. 7.1. The Subcontractor and its Personnel will at all times: 7.1.1. keep accurate, systematic and up to date Records, including all invoices and other financial data and paperwork, relating to the performance of its obligations under this Agreement and in accordance with all requirements of the Head Contract; 7.1.2. retain copies of all Records for the Records Retention Period after termination or expiration of this Agreement; 7.1.3. allow all persons authorised in writing by the Company or the Client full access, at reasonable times, to premises occupied by the Subcontractor where the Services are being carried out, or where Records or Project Material are held or are available, and will permit such persons to inspect, audit, take extracts from and copy any information, Project Material or Records relating to the Services or the Project or this Agreement generally. 7.1.4. provide all reasonable assistance requested by the Company or the Client: 7.1.4.1. for the performance of such inspection or audit above, or any administrative or statutory review or audit relating to this Agreement, the Head Contract, the Goods and/or the Services; 7.1.4.2. in relation to an audit of the Company by the Client pursuant to the terms of the Head Contract; or 7.1.4.3. in relation to any audit described in Clause 7.1.3 above. 7.2. The Parties agree that they shall bear their own respective costs and expenses incurred in respect of compliance with their obligations under this clause, unless the audit reveals a default by the Subcontractor in which case the Subcontractor shall reimburse the Company for its reasonable costs incurred in relation to the audit. 7.3. To the extent required under the Head Contract, or any later Client requirement, to disclose the amount of profit derived by parties providing services to the Project, the Subcontractor shall make available to the Company (and the Client, as required) details of any profit made by the Subcontractor and/or any Affiliate in the provision of the Services. 7.4. The Subcontractor will provide a copy of the Subcontractor’s audited accounts to the Company on request, or annually, in the absence of a request from the Company.

The Resource Organisation shall co-operate fully in providing to the Client or its representative’s answers to such enquiries as may be made about the Records. 8.3 Where it is found by the Client that any overpayment has been made to the Resource organisation, the Resource Organisation shall reimburse the Client such amount within 28 days of the date of the Client’s written demand.
