Access to Work in Progress. A. This Article shall be subject to applicable laws and regulations relating to disclosure and use of technical information and information to which Inmarsat has access under this Article and shall be subject to the provisions of Article 13 hereof, entitled Inmarsat’s Rights in Intellectual Property, and Article 37 hereof, entitled Confidentiality. B. The Contractor shall provide for review meetings with Inmarsat, and submit reports and documentation, in accordance with Annex A hereto, entitled Statement of Work. Any approvals granted by Inmarsat at a design review or any other review meetings, or with respect to any documentation, shall not relieve the Contractor from responsibility and shall be without prejudice to Inmarsat’s rights under this Contract in the event that any deliverable items do not satisfy the requirements of this Contract. C. Inmarsat shall have the right, at all reasonable times during the performance of this Contract, subject to reasonable notice of not less than forty eight (48) hours to the Contractor (which notice shall not apply to Inmarsat personnel and Inmarsat Consultants (as defined in Paragraph G of this Article where such personnel and Inmarsat Consultants are already based at the plants of the Contractor and its Subcontractors) and to any applicable security and health and safety regulations of the Contractor and its Subcontractors, to monitor the Work in progress at the plants of the Contractor and its Subcontractors or other relevant locations, including, but without limitation to: 1. access to all design, development, and manufacturing activities, including development and engineering model testing; and 2. in accordance with Annex J hereto, entitled Overall Test Plan, the right to witness all qualification, protoflight, and acceptance testing of all deliverable equipment, including development tests used for the purpose of demonstrating qualification. D. If Inmarsat determines at any time up to expiration of the warranty periods identified in Article 11 that any of the Work will not conform to the requirements of this Contract, Inmarsat shall promptly notify the Contractor in writing of the particulars, and the Contractor shall promptly make the necessary corrections at its own cost. The decision as to how to make the corrections shall be in the Contractor’s discretion, but shall require consultation with Inmarsat. Access to Work in Progress. (A) Subject to applicable government regulations, Contractor shall afford Purchaser access to all WIP, including without limitation Technical Data and information, test data, documentation (not containing cost information), testing and hardware, being performed at Contractor’s facilities pursuant to this Contract during the period of Contract performance as set forth in section 1.5 of Exhibit A, provided that such access does not unreasonably interfere with such WIP or any other work. (B) Contractor shall afford Purchaser access to WIP being performed pursuant to this Contract in Subcontractor’s facilities to the extent Contractor obtains such access, subject to the right of Contractor to accompany Purchaser on any such visit and subject further to the execution by Purchaser of such non-disclosure or similar agreements as may be required by Subcontractors. Contractor shall use its best efforts to obtain access to the WIP being performed in Subcontractor’s facilities.
Access to Work in Progress. 15.1 Work-in-Progress at Boeing’s Facility The Customer’s access to Work under this Article shall be subject to Articles 6 (Compliance with Laws and Directives), 21 (Rights in Data) and 23 (Proprietary Information), compliance with Boeing’s normal and customary safety and security regulations and practices, and the protection of third party proprietary information. Boeing shall provide Customer personnel (and Customer’s duly appointed consultants, designees, and agents, hereinafter referred to collectively as “Customer Representatives” and as allowed in accordance with the terms of Article 15.4 (Customer Representatives) below) access to all Work being performed at Boeing’s facility (at the subsystem level and above) for the Satellite and other Deliverable Items for the purpose of observing the progress of such Work and for such other activities as contained in the Statement of Work, and Exhibit B5 (Ground Products Technical Specification and Test Plan) for the DSS Software and as applicable, the SCIP Software and Exhibit H (Ground Control Equipment Upgrade) for the GCE, and Exhibit B5 (SCIP Software Specification) for the SCIP Software (as applicable). All access to Work must have been previously reasonably coordinated with the Boeing program manager or other person designated by Boeing. Such access shall be allowed upon reasonable prior written notice to Boeing and shall occur during normal working hours or at such other hours as Work is being performed at Boeing’s facility.
Access to Work in Progress. A. Globalstar shall have the right, at all reasonable times during the performance of this Agreement, and at Globalstar’s sole expense, to monitor the Work in progress at the plants of Ericsson, provided that Globalstar gives reasonable notice to Ericsson. Visits shall be on a non-interfering basis subject to Ericsson’s standard security and confidentiality procedures. B. To the extent necessary to implement this Article, and with the consent of any affected subcontractors, Ericsson shall pass through the provisions hereof into all subcontracts with suppliers of critical path items. C. In no event shall Ericsson be liable if Globalstar’s monitoring delays or otherwise prevents the performance, delivery or acceptance of Ericsson Work under this Agreement.
Access to Work in Progress. 10.1 Work in Progress at Contractor's Plant. For the purpose of observing the quality of the Contractor's performance of work, a pre-agreed limited number of the Purchaser's personnel (including its consultants who must be approved in advance by the Contractor) shall be allowed to observe, on a non-interference basis, work being performed at the subsystem level and above for the Satellites, at the Contractor's plant. Such observation shall occur during normal working hours that are reasonable under the circumstances. The Contractor shall provide office space and access to telephone, copy and fax machine services for the Purchaser's personnel, not to exceed four (4), at the Contractor's facility. 10.2 Work in Progress at Subcontractor's Plants. To the extent permitted by the Contractor's major subcontractors, and any U.S. Government restrictions, the Contractor shall allow the Purchaser access to work being performed pursuant to this Contract in subcontractors' plants for the purpose of observing the quality of subcontractor's performance of work, subject to the right of the Contractor to accompany the Purchaser on any visit to a subcontractor's plant. The Contractor will exert its best efforts in subcontracting to obtain permission for such access to subcontractors' facilities. Use or disclosure of the data contained on this page is subject to the restriction on the title page of this Contract.
Access to Work in Progress. 3.1 Subject to Article 1 and in compliance with Seller’s normal and customary safety and security regulations and practices, and the protection of third party proprietary information, Seller agrees to enable Buyer and Xxxxx’s Customer personnel and Customer’s Consultants access to all Work at the major subsystem level or higher being performed at Seller’s or Subcontractors’ facilities where Seller's obligations under this Contract are being performed for the purpose of observing the progress of the Work. Such access shall be allowed upon reasonable prior written notice to Seller during the period of this Contract. Seller shall allow Xxxxx and Xxxxx’s Customer's personnel and Customer’s Consultants, access to Work being performed with respect to such Satellite in each such Subcontractor's plants for the purpose of observing the progress of such Work, subject to the right of Seller to accompany Buyer and Xxxxx’s Customer on any such visit to a Subcontractor’s plant. Seller will use reasonable efforts to obtain permission for such access to Subcontractor's facilities. Subject to compliance with Article 1, the Seller shall closely cooperate with the Buyer and Xxxxx’s Customer’s personnel and Consultants to provide them with the access to perform the monitoring on site. 3.2 For the purpose of monitoring the progress of the Work being performed by Seller hereunder, Seller shall provide Buyer and Xxxxx’s Customer's personnel and Customer’s Consultants with reasonable office facilities at or proximate to Seller’s plant for resident Buyer and Buyer’s Customer personnel through the (In Orbit Test) IOT Complete Date. 3.3 Buyer shall exercise its rights under this Article 3 in a manner that does not unreasonably interfere with Seller’s or its Subcontractors’ normal business operations or Seller’s performance of its obligations under this Contract or any agreement between Seller and its Subcontractors. 4.1 Launch Services Agreement Inter-Party Waiver of Liability

Such observation shall occur during normal working hours and during other hours that are reasonable under the circumstances. For purposes of scheduling meetings and program reviews between Purchaser's and Contractor's personnel, Purchaser shall coordinate with Contractor reasonably in advance of such meetings or program reviews.

Access to Work in Progress. 9.1. DBSI shall be provided access to all Work, including technical data, test data, drawings, documentation, tooling, and manufacturing processes, testing, and hardware in progress, being performed at The Contractor's facilities pursuant to this Contract at all times during the period of Contract performance, provided that such access does not interfere unreasonably with such Work. Subject to Article 11 (Rights in Data) and Article12 (Proprietary and/or Confidential Information), hereof, and solely in connection with the performance of this Contract, the Contractor shall, at DBSI's request, within 20 (twenty) days, deliver to DBSI copies of design test data and other data generated under this Contract and reasonably necessary to determine compliance with this Contract. Nothing in this paragraph is intended to nor shall it create any independent right (other than as specifically set forth in this Contract) in any third party to require production of such design, test data or other data. 9.2. DBSI shall be provided access to all Work being performed pursuant to this Contract in the Subcontractor's facilities to the extent the Contractor obtains such access, subject to the advance notice has been received by the Contractor in reasonable time by DBSI, the right of the Contractor to accompany DBSI on any such visit and subject further to the execution by DBSI of non-disclosure or similar agreements as may be required by said Subcontractors. The Contractor shall make best efforts to obtain access to the work being performed pursuant to this Contract in its Subcontractor's facilities. 9.3. The rights of DBSI under any of the provisions of this Article shall be subject to compliance with internal and national security rules and regulations applicable to the Contractor and its Subcontractors.

Access to Work in Progress. Subject to any applicable conditions set forth in this Agreement, Contractor shall provide Globalstar access to Contractor’s or its Major Subcontractor’s facilities, records, and Personnel involved in the performance of Contractor’s obligations under this Agreement, including all work in progress and completed Deliverables, Technical Data and information, test data, documentation, testing and hardware, as further set forth in Exhibit A. Contractor shall make Contractor Personnel who are knowledgeable of the relevant records, processes, conditions, and facilities available during to Globalstar and ensure that any information and documentation provided are complete and accurate.
