Accuracy of Documents, Representations and Warranties. The copies of all documents furnished to the Vendors and their representatives by or on behalf of Purchaser and its representatives are true, complete and correct in all material respects. No representation or warranty of Purchaser contained in this Agreement or the other agreements referenced herein to which Purchaser is a party, and no statement contained in the exhibits, the schedules or the other documents delivered by or on behalf of Purchaser or its representatives pursuant to or in connection with this Agreement or any of the transactions contemplated hereby contains any untrue statement of a material fact, or omits to state any material fact required to be stated herein or therein in order to make the statements contained herein or therein not misleading.

No representation or warranty of Parent contained in this Agreement or any of the Operative Documents, delivered by or on behalf of Parent, or its respective representatives, pursuant to or in connection with this Agreement or any other document or instrument executed by Parent in connection herewith or therewith, or any of the transactions contemplated hereby or thereby, contains any untrue statement of a material fact, or omits to state any material fact required to be stated herein or therein in order to make the statements contained herein or therein not misleading.

The Stockholder has no knowledge or belief that any statement contained in the Exhibits or the Seller Disclosure Schedules delivered by or on behalf of Seller or its representatives pursuant to or in connection with this Agreement or any of the transactions contemplated hereby or thereby contains any untrue statement of a material fact, or omits to state any material fact required to be stated herein or therein in order to make the statements contained herein or therein not misleading.
