Common use of Action upon Termination, Resignation or Removal Clause in Contracts

Action upon Termination, Resignation or Removal. Promptly upon the effective date of termination of this Agreement pursuant to Section 8(a) or the resignation or removal of the Owner Trust Administrator pursuant to Section 8(b), (c) or (d), respectively, the Owner Trust Administrator shall be entitled to be paid all fees and reimbursable expenses accruing to it to the date of such termination, resignation or removal. The Owner Trust Administrator shall forthwith upon such termination pursuant to Section 8(a) deliver to the Issuer all property and documents of or relating to the Collateral then in the custody of the Owner Trust Administrator. In the event of the resignation or removal of the Owner Trust Administrator pursuant to Section 8(b), (c) or (d), respectively, the Owner Trust Administrator shall cooperate with the Issuer and take all reasonable steps requested to assist the Issuer in making an orderly transfer of the duties of the Owner Trust Administrator.

In the event of the resignation or removal of the Owner Trust Administrator pursuant to Section 8(b), ) or (c) or (d)of this Agreement, respectively, the Owner Trust Administrator shall cooperate with the Issuer Seller, the Owner Trustee and the Indenture Trustee and take all reasonable steps requested to assist the Issuer them in making an orderly transfer of the duties of the Owner Trust Administrator.

In the event of the resignation or removal of the Owner Trust Administrator pursuant to Section 8(b), (c8(c) or (d)8(d) of this Agreement, respectively, the Owner Trust Administrator shall cooperate with the Issuer Trust and take all reasonable steps requested to assist the Issuer Trust in making an orderly transfer of the duties of the Owner Trust Administrator.

The Owner Trust Administrator shall forthwith upon such termination pursuant to Section 8(asubsection 10(a) deliver to the Issuer Transferor all property and documents of or relating to the Collateral Trust Assets then in the custody of the Owner Trust Administrator. In the event of the resignation or removal of the Owner Trust Administrator pursuant to Section 8(bsubsections 10(b), (c) or (d), respectively, the Owner Trust Administrator shall cooperate with the Issuer and the Transferor and take all reasonable steps requested to assist the Issuer and the Transferor in making an orderly transfer of the duties of the Owner Trust Administrator.

Promptly upon the effective date of any termination of this Administration Agreement pursuant to Section 8(a) of this Administration Agreement or the resignation or removal of the Owner Trust Administrator pursuant to Section Sections 8(b), (c8(c) or (d)8(d) of this Administration Agreement, respectively, the Owner Trust Administrator shall be entitled to be paid all fees and reimbursable expenses accruing to it to the date of such termination, resignation or removal. The Owner Trust Administrator shall forthwith upon such termination pursuant to Section 8(a) of this Administration Agreement deliver to the Issuer Trust all property and documents of or relating to the Bonds or the Collateral then in the custody of the Owner Trust Administrator. In the event of the resignation or removal of the Owner Trust Administrator pursuant to Section Sections 8(b), (c8(c) or (d)8(d) of this Administration Agreement, respectively, the Owner Trust Administrator shall cooperate with the Issuer Trust and take all reasonable steps requested to assist the Issuer Trust in making an orderly transfer of the duties of the Owner Trust Administrator.
