Actions to Effect the Contemplated Transactions. The Company, each Seller Party and Buyer shall each use reasonable Best Efforts to approve or cause to be approved, and effect or cause to be effected, the Contemplated Transactions, including without limitation: (a) taking all actions necessary or appropriate to satisfy all conditions precedent and to enable the delivery at Closing of the agreements and documents contemplated by Article 7 (other than action involving the payment of funds which it or he is not otherwise obligated to make); (b) executing and filing such documents and certificates as may be necessary or appropriate; and (c) using all commercially reasonable efforts to obtain all Required Consents (as hereinafter defined).
