Adding Products. (i) Adding new Products not previously ordered. New Enterprise Products or Enterprise Online Services may be added at any time by contacting a Microsoft Account Manager or Reseller. New Additional Products, other than Online Services, may be used if an order is placed in the month the Product is first used. For Additional Products that are Online Services, an initial order for the Online Service is required prior to use. (ii) Adding Licenses for previously ordered Products. Additional Licenses for previously ordered Products other than Online Services may be added at any time but must be included in the next true-up order. Additional Licenses for Online Services must be ordered prior to use, unless the Online Services are (1) identified as eligible for true-up in the Product Terms or (2) included as part of other Licenses.

Adding Products. (i) Adding new Products not previously ordered. New Education Platform Products and Additional Products may be added at any time by contacting a Reseller. New Additional Products, other than Online Services, may be used if an order is placed in the month the Product is first used. For Online Services not previously ordered, an initial order for the Online Service is required prior to use. (ii) Adding Licenses for previously ordered Products. For Education Platform Products other than Online Services and for Additional Products licensed Organization-wide or for the full Student Count, Institution is not required to obtain additional Licenses based on increases in the Organization-wide Count or Student Count after the date of the order. Institution must provide Microsoft with an updated Organization-wide Count or Student Count to account for any such increases on each anniversary of the Enrollment effective date during the Licensed Period. Additional Licenses for Online Services must be ordered prior to use. (iii) Invoicing. Microsoft will invoice Institution’s Reseller for such Products ordered on a pro- rated basis based on the greater of (i) the number of full calendar months remaining in the Licensed Period or (ii) six months. Microsoft will invoice the Reseller for Online Services ordered on a pro-rated basis based on the number of full calendar months remaining in the Licensed Period. If Institution subsequently orders Licenses for Additional Products that were not included on Institution’s initial order, Microsoft will use the price list in effect on the date of the invoice to charge Institution’s Reseller for the additional Licenses. If Institution subsequently orders additional Licenses for Products that were included in Institution’s initial order, Microsoft will use the price list in effect when the product was initially ordered to charge Institution’s Reseller for the additional Licenses.

Adding Products. From time to time, New Products may be added to Exhibits A or B, at which time such New Products will become subject to the terms of this Agreement. (a) If a New Product is offered by AB to its customers, then 30 days after Celera’s written request, such New Product will be added to Exhibit A, subject to Section 2.8, at the New Product Price. In the event that AB must pay a royalty to a Third Party in order to sell such New Product to Celera pursuant to this Agreement, and such royalty is not already included in the New Product Price, the amount of such royalty due with respect to a sale of such New Product by Celera will be paid by Celera to AB (defined herein as a “Pass-Through Royalty”). The New Product Price and any applicable Pass-Through Royalty will be determined by AB within 30 days of such New Product being added to Exhibit A. For the avoidance of doubt, no Pass-Through Royalty will be applicable to Products listed on Exhibit A as of the Effective Date to the extent AB has breached its representations and warranties set forth in Section 2.8 with respect to such Products. (b) Notwithstanding Section 2.2(a) above, if Celera can demonstrate that it has previously ordered a product that is not listed on Exhibit A, such product will be added to Exhibit A, subject to Section 2.8, at the price previously paid by Celera, as adjusted pursuant to Section 5.2, and will be deemed a Product hereunder as of the Effective Date. (c) If a New Product is not offered by AB to its customers at the time of Celera’s request, such New Product will be deemed a custom product and will be addressed as described in Section 2.7. (d) If a New Product is derived from the Kauai Project (as defined in the Operating Agreement) it will be added to Exhibits A or B, as the case may be, at a price determined as set forth in the agreement between the Parties for the Kauai Project. (e) If a New Product is derived from the Maui Project it will be added to Exhibits A or B, as the case may be, at the New Product Price. In the event that AB must pay a royalty to a Third Party in order to sell such New Product to Celera pursuant to this Agreement, and such royalty is not already included in the New Product Price, the Pass-Through Royalty will be paid by Celera to AB. Adding Products. The ability to add new equipment and services is for the convenience and benefit of WSCA-NASPO, the Participating States, and all the Authorized Purchasers. The intent of this process is to promote "one- stop shopping" and convenience for the customers and equally important, to make the contract flexible in keeping up with rapid technological advances. The option to add new product or service categories and/items will expedite the delivery and implementation of new technology solutions for the benefit of the Authorized Purchasers. After the contracts are awarded, additional IT product categories and/or items may be added per the request of the Contractor, a Participating State, an Authorized Purchaser or WSCA-NASPO. Additions may be ad hoc and temporary in nature or permanent. All additions to an awarded Contractor or Manufacturer's offerings must be products, services, software, or solutions that are commercially available at the time they are added to the contract award and fall within the original scope and intent of the RFP (i.e., converged technologies, value adds to manufacturer's solution offerings, etc.). 5.3.2.1 New Product from Contractors - If Contractor, a Participating State, an Authorized Purchaser or WSCA-NASPO itself requests to add new product categories permanently, then all awarded Contractors (Manufacturers) will be notified of the proposed change and will have the opportunity to work with WSCA to determine applicability, introduction, etc. Any new products or services must be reviewed and approved by the State of Utah WSCA-NASPO Contract Administrator. 5.3.2.2 Ad Hoc Product Additions - A request for an ad hoc, temporary addition of a product category/item must be submitted to WSCA-NASPO via the governmental entity's contracting/purchasing officer. Ad hoc, temporary requests will be handled on a case-by-case basis. The State of Utah WSCA- NASPO Contract Administrator must also be notified and will review and approve the addition before the purchase is finalized by the end user. The State of Utah WSCA-NASPO Contract Administrator has the final approval on any Ad Hoc product additions.
