Adherence to Specifications. Hollister-Stier shall, subject to Section 5.1 hereof, produce the Prxxxxx xx xxxxxxance with the Specifications for the Product.
Adherence to Specifications. 2.1.1 CIMAB shall manufacture the Products in accordance with the Specifications applicable thereto in effect at the time of the manufacture of the Products.
2.1.2 CIMAB may change the Specifications to ensure the safety and efficacy of, or to comply with Applicable Laws related to, the Products; however, before making any such change, CIMAB shall give TARCANTA and TARCANTA LTD. one hundred and eighty (180) days advance written notification of such proposed change and the date the change will be made. The Parties shall cooperate in good faith to attempt to resolve any objections or concerns TARCANTA and TARCANTA LTD. may have with all such proposed changes.
Adherence to Specifications. All Purchase Orders will reference a part number and a revision number. If Enphase does not have a part drawing of the part revision specified in the Purchase Order, it is the responsibility of Enphase to request drawings and specifications of the referenced revision. If Enphase identifies any ambiguity or contradiction in the specification or part drawing, it is the responsibility of Enphase to inform SunPower of the ambiguity or contradiction, and to resolve such issue prior to production.
Adherence to Specifications. During the Term, Supplier shall Manufacture all Products supplied to Purchaser in accordance with the Specifications provided by Purchaser, Supplier’s standard operating procedures, quality requirements and industry standards.
(a) In the event Purchaser desires to make changes that are required by any Applicable Regulatory Agency and that affect or impact Manufacturing, testing or the supply of Product, Purchaser shall provide written notice thereof to and consult with Supplier prior to finalizing any such changes, and Supplier shall implement such changes as promptly as practicable, and in any event within any applicable timeframes specified by the Applicable Regulatory Agency, provided Purchaser provides sufficient and timely notice. Purchaser shall be responsible for any costs incurred in order to implement any such changes to the Products or Raw Materials, and Supplier shall be responsible for any out of pocket costs incurred in order to implement any such changes to the Manufacturing process.
(b) In the event Purchaser desires to amend or make any changes to the Products, the labels or any applicable regulatory filings, or to make any other changes that are not required by any Applicable Regulatory Agency and that affect or impact the Manufacturing of Product, Purchaser shall consult with Supplier prior to finalizing any such changes, and shall consider in good faith any suggestions proposed by Supplier with respect to such changes. Supplier shall use commercially reasonable efforts to minimize all Purchaser Reimbursable Change Costs. Purchaser shall pay to Supplier any out-of-pocket costs incurred in order to implement any changes made under this Section 3.3(b) to Manufacture the Products (“Purchaser Reimbursable Change Costs”); provided that Supplier has obtained Purchaser’s prior written consent prior to commencing implementation of any such change and incurring such Purchaser Reimbursable Change Costs.
Adherence to Specifications. The Supplier shall produce the Drug Substance strictly in accordance with the Specifications.
Adherence to Specifications. Hollister-Stier shall, subject to Section 9.1 herexx, xxxxxxx xxx Intermediate(s) and Product(s) in accordance with the Specifications for the Intermediates(s) and Product(s).
Adherence to Specifications. Supplier shall ensure that all goods supplied by it to Buyer meet Buyer’s specifications (“Specifications”) applicable to such goods, as Buyer may, from time to time, in Buyer’s sole discretion, amend them. Such Specifications shall remain in effect until Buyer amends its Specifications and delivers notice of such amended Specifications to Supplier. Specifications shall not be altered, changed, modified, deviated from, or waived except as approved in writing by an officer of Buyer at the level of Vice President or above. Delivery by Supplier of product that does not meet Specifications may result in removal of Supplier from Buyer’s approved supplier program.
Adherence to Specifications. Kamada warrants that all of the Products delivered to Kedrion further to the provisions of this Agreement shall be processed in accordance with the Manufacturing Specifications. Kedrion warrants that, for the entire period the Product is in the possession, custody or control of Kedrion, Kedrion shall comply with the Handling Specifications.
Adherence to Specifications. Supplier shall ensure that all goods supplied by it to Freshtrade meet the specifications of Freshtrade (“Specifications”) applicable to such goods. Specifications will be provided by Freshtrade to Supplier from time to time and referenced in purchase orders placed by Freshtrade; such Specifications shall remain in effect until Freshtrade amends its Specifications and delivers such amended Specifications to Supplier. Specifications shall not be altered, changed, modified, deviated from, or waived except as approved in writing by an officer of Freshtrade
Adherence to Specifications. Inyx shall produce the Aventis Products strictly in accordance with the Specifications and written instructions given by Aventis and accepted by Inyx hereunder.
