Adjustment to Aggregate Merger Consideration. Any indemnity payment made pursuant to Section 9 shall be treated as an adjustment to the Aggregate Merger Consideration for Tax purposes, unless a final determination with respect to the Parent Indemnitee or the Company Stockholders causes such payment to be treated other than as an adjustment to the amount of the Aggregate Merger Consideration for federal Tax purposes.
