Adjustments for Splits Clause Samples
The "Adjustments for Splits" clause defines how contractual terms, particularly those involving shares or equity, are modified in the event of a stock split or reverse split. When a company changes the number of its outstanding shares without altering the total value, such as by issuing more shares to existing holders (stock split) or consolidating shares (reverse split), this clause ensures that quantities, prices, and other relevant figures in the contract are proportionally adjusted. Its core function is to maintain fairness and accuracy in contractual obligations by preventing unintended gains or losses due to changes in share structure.
