Administrative Agent’s Expenses. The Borrower hereby agrees to promptly reimburse the Administrative Agent for all of the reasonable out-of-pocket expenses, including, without limitation, attorneys’ and paralegals’ fees, it has heretofore or hereafter incurred or incurs in connection with the preparation, negotiation and execution of this Agreement and the other documents, agreements and instruments contemplated hereby.
Administrative Agent’s Expenses. If Guarantor fails to pay the -------------------------------- Liabilities after notice from the Administrative Agent of Borrower's failure to pay any Liabilities when due, and if the Administrative Agent obtains the services of an attorney for collection of amounts owing by Guarantor hereunder, or obtaining advice of counsel in respect of any aspect of this Guaranty Agreement, or if suit is filed to enforce this Guaranty Agreement, or if proceedings are had in any bankruptcy, probate, receivership or other judicial proceedings for the establishment or collection of any amount owing by Guarantor hereunder, or if any amount owing by Guarantor hereunder is collected through such proceedings, Guarantor agrees to pay to the Administrative Agent the Administrative Agent's reasonable attorneys' fees.
Administrative Agent’s Expenses. Without limiting the provisions of Section 10.09 of the Loan Agreement, the Borrowers hereby jointly and severally agree to promptly reimburse the Administrative Agent for all of the reasonable out-of-pocket expenses, including, without limitation, reasonable attorneys’ and paralegals’ fees, it has heretofore or hereafter incurred or incurs in connection with the preparation, negotiation and execution of this Amendment. ******
Administrative Agent’s Expenses. The Additional Subsidiary Guarantor agrees to reimburse the Administrative Agent for its reasonable and documented out-of-pocket expenses in connection with this Agreement as provided in Section 14.03(a) of the Credit Agreement.

Administrative Agent’s Expenses. Each Pledgor agrees to pay upon demand to the Administrative Agent the amount of any and all reasonable expenses, including the reasonable expenses of its counsel and of any experts or agents, which the Administrative Agent may incur in connection with (i) the administration of this Pledge Agreement, (ii) the custody or preservation of, or the sale of, collection from or other realization upon, any of the Collateral, (iii) the exercise or enforcement of any of the rights of the Administrative Agent hereunder or (iv) the failure of such Pledgor to perform or observe any of the provisions hereof. Any such amounts payable as provided hereunder shall be additional Obligations secured hereby.
Administrative Agent’s Expenses. The Borrower shall have paid or reimbursed the Administrative Agent for, to the extent required by Section 9.03 of the Credit Agreement, its reasonable and documented out-of-pocket expenses in connection with this First Amendment, including the reasonable and documented fees, charges and disbursements of outside counsel for the Administrative Agent, in each case for which invoices have been presented two (2) Business Days prior to the First Amendment Effective Date.
Administrative Agent’s Expenses. Each Lender agrees to reimburse the Administrative Agent, to the extent of such Lender's Percentage Interest hereunder at the time such expenses are incurred, for all reasonable out-of-pocket expenses (including attorneys' fees) incurred by the Administrative Agent hereunder or in connection herewith or in enforcing the obligations of Borrower or the Guarantor hereunder and for which the Administrative Agent is not reimbursed by Borrower. Administrative Agent shall not be required to take any action hereunder or to prosecute or defend any suit in respect of this Agreement or other Loan Documents, unless indemnified to its satisfaction by the Lenders' against loss, cost, liability and expenses. If any indemnity furnished to the Administrative Agent shall become impaired, it may call for additional indemnity and cease to do the acts indemnified against until such additional indemnity is given.
Administrative Agent’s Expenses. Borrower will reimburse Administrative Agent for all reasonable expenses of Administrative Agent, including reasonable attorneys’ fees of outside legal counsel, incurred in connection with the preparation, execution, delivery, administration and performance of the Loan Documents.
