ADOPTION AND RATIFICATION. Borrower and each Subsidiary Loan Party hereby (a) ratify, assume, adopt and agree to be bound by all of the Existing Loan Documents to which it is a party as amended by this Ratification Agreement, and in accordance with the Financing Order and (b) agrees to pay all of the Pre-Petition Obligations in accordance with the terms of such Existing Loan Documents, as amended by this Ratification Agreement, and in accordance with the Financing Order. All of the Existing Loan Documents are hereby incorporated herein by reference and hereby are and shall be deemed adopted and assumed in full by Borrower and Subsidiary Loan Parties, each as Debtor and Debtor-in- Possession, and considered as agreements between Borrower or such Subsidiary Loan Party, on the one hand, and Agent and Lenders, on the other hand. Borrower and each Subsidiary Loan Party hereby ratifies, restates, affirms and confirms all of the terms and conditions of the Existing Loan Documents, as amended and supplemented pursuant hereto and the Financing Order, and Borrower and each Subsidiary Loan Party agrees to be fully bound, as Debtor and Debtor-in-Possession, bythe terms of the Loan Documents to which Borrower or such Subsidiary Loan Party is a party.
ADOPTION AND RATIFICATION. Debtor hereby (a) ratifies, assumes, adopts and agrees to be bound by the Existing Financing Agreements as modified by this Agreement and (b) agrees to pay all of the Pre-Petition Obligations in accordance with the terms of the Existing Financing Agreements as modified by this Agreement and the Financing Order. All of the Existing Financing Agreements are hereby incorporated herein by reference and hereby are and shall be deemed adopted and assumed in full by Debtor, as Debtor and Debtor-in-Possession, and considered as agreements between Debtor and Lender. Debtor hereby ratifies, restates, affirms and confirms all of the terms and conditions of the Existing Financing Agreements, as amended and supplemented pursuant hereto and the Financing Order, and Lender agrees to lend and Debtor agrees to be fully bound, as Debtor and Debtor-in-Possession, by the terms of the Financing Agreements as amended hereby to which Debtor is a party.

Each Obligor hereby (a) ratifies, assumes, adopts and agrees to be bound by all of the Pre-Petition Loan Documents to which it is a party and (b) agrees to pay all of the Pre-Petition Obligations in accordance with the terms of such Pre-Petition Loan Documents, as amended by this Agreement, and in accordance with the Financing Order. All of the Pre-Petition Loan Documents are incorporated herein by reference and hereby are and shall be deemed adopted and assumed in full by Obligors, each as Debtor and Debtor-in- Possession as applicable, and considered as agreements between Obligors, on the one hand, and Lender, on the other hand. Debtors hereby ratify, restate, affirm and confirm all of the terms and conditions of the Pre-Petition Loan Documents, as amended and supplemented pursuant hereto and the Financing Order, and Debtor agree to be fully bound by the terms of the Loan Documents to which any Debtor is a party. Xx. Xxxxxx affirms that (i) the Pre-Petition Loan Documents speak for themselves, and (ii) he is bound by the Pre-Petition Loan Documents to the extent applicable. Xx. Xxxxxx’x affirmation herein is not a waiver of any claims or defenses he may have.

Client agrees that each and every act performed by U.S. Energy in connection with any of the authorized powers designated in Paragraph 1 will be valid and binding on Client as if the same act had been done by Client. Client ratifies whatever U.S. Energy does pursuant to this Authorization.

Each Loan Party, in its capacity as a Borrower or Guarantor under the Pre-Petition Loan Documents, as applicable, hereby (a) ratifies, assumes, adopts and agrees to be bound by all of the Pre-Petition Loan Documents to which it is a party and (b) agrees to pay all Pre-Petition Obligations for which it is obligated in accordance with the terms of the Pre-Petition Loan Documents and in accordance with the Interim Order, Final Order and this Agreement. All of the Pre-Petition Loan Documents to which any Debtor, in its capacity as a capacity as a Borrower or Guarantor under the Pre-Petition Loan Documents, as applicable, are hereby and shall be deemed adopted and assumed in full by each such Debtor, in each case as a debtor and debtor-in-possession, and considered as agreements among the Debtors, on the one hand, and the applicable Pre-Petition Secured Parties, on the other.

ADOPTION AND RATIFICATION. Each Credit party hereby agrees subject to the terms of this Agreement and the Loan Documents to pay all Pre-Petition Obligations in accordance with the terms of the Pre-Petition Loan Documents.
