Adverse Information. No serious adverse event information resulting from Clinical Trials has come to the attention of Ambit or any of its Affiliates with respect to AC220 or the Lead Product that is materially different with respect to the incidence, severity or nature of such serious adverse events than the information that was filed as safety updates to any Regulatory Materials or Regulatory Approvals, and all written data summaries that were included in any Regulatory Materials or Regulatory Approvals based on Clinical Trials conducted or sponsored by Ambit or any of its Affiliates accurately summarize in all material respects the raw data underlying such summaries.
Adverse Information. The Mortgage Manager must notify the Trust Manager promptly upon becoming aware of any event or circumstance which it reasonably considers likely to have a material adverse effect upon the ability of the Mortgage Manager to comply with its obligations under this Agreement, or the volume or value of investment proposals which it is likely to be able to make to the Trustee under clause 4 or the business operations of the Mortgage Manager generally.

Property Disclosure Statement, Residential Lease Owner’s Property Disclosure Statement or other written notice.
Adverse Information. After due inquiry of Company management, Seller does not have any information or knowledge of any change contemplated in any applicable laws, ordinances or restrictions, or any judicial or administrative action, or any event, fact or circumstance which will, or could be reasonably expected to, have a material adverse effect on the Company or its condition, financial or otherwise, the Assets, the Leased Assets or the condition, value or operation thereof.
Adverse Information. Seller does not have any actual knowledge of any change contemplated in any applicable laws, ordinances or restrictions, or any judicial or administrative action ( or any event, fact or circumstance) which will or could be reasonably expected to, have a material adverse effect on the Seller or its condition, financial or otherwise, the Assets, or the condition, value or operation thereof.
Adverse Information. Seller has no information or knowledge of the existence of, or any change contemplated in any applicable laws, ordinances, or regulations, or any judicial or administrative action, or any action by adjacent landowners, or natural or artificial conditions upon the Property, which would prevent, limit, impede, or render more costly Buyer's contemplated use of the Property as aforedescribed.
Adverse Information. The Company has no information or knowledge that there are any laws, ordinances or restrictions, or any change contemplated therein, or any judicial or administrative action, or any action by adjacent landowners, or natural or artificial conditions upon the Property, or any other facts or conditions which could, in the aggregate, have a material adverse effect upon the Property or the completion or operation of the Project, including the value or profitability thereof. The Company has not received any notice from any insurance company of any defects or inadequacies in any of the Property which could materially and adversely affect the insurability of the Property or the Project or the premiums for the insurance thereof. No notice has been given by any insurance company which has issued a policy with respect to any of the Property or by any board of fire underwriters (or other body exercising similar functions) requesting the performance of any repairs, alterations or other work with which compliance has not been made.
Adverse Information. Each Party will promptly notify the other Party following receipt of any information, including but not limited to any problems regarding the Manufactured Products or any information regarding any threatened or pending action that might affect the production or marketing of the Manufactured Products. Promptly upon receipt of such notice, the Parties will consult with each other in an effort to arrive at a mutually acceptable procedure for taking appropriate action; provided, however, that nothing contained herein will be construed as restricting the right of either Party to make a timely report of such matter to any Regulating Group or take other action that it deems to be appropriate or required by applicable law or regulation.
