Affiliated Broker-Dealers. Adviser may enter orders with broker-dealers or other financial institutions with which Adviser is affiliated, and Client acknowledges that such broker-dealers or other financial institutions may profit from such transactions by charging their usual and customary rates of compensation, including xxxx-ups or xxxx-xxxxx on principal transactions. Client understands that Adviser could have a conflict of interest in negotiating broker-dealer compensation with such broker-dealer or other financial institution on Client’s behalf.
Affiliated Broker-Dealers. Broker or dealers selected by the Advisor for the purchase and sale of securities or other investment instruments for a Fund may include the Sub-Advisor or any other sub-advisor, or brokers or dealers affiliated with the Sub-Advisor or any other sub-advisor, provided such orders comply with Rules 17e-1 and 10f-3 under the 1940 Act and the Trust’s Rule 17e-1 and Rule 10f-3 Procedures, respectively, in all respects, or any other applicable exemptive rules or orders applicable to the Advisor.
Affiliated Broker-Dealers. Neither the Trustee nor any affiliate of the Trustee will act as broker dealer to execute transactions, including the purchase of securities directly distributed, underwritten or issued by an affiliate of the Trustee, or otherwise provide investment services with respect to the Trust; provided, however, that the Trustee (or its affiliate) may provide ancillary non-advisory investment services with respect to the Trust, including investment of Trust assets in money market or stable value funds distributed, underwritten or issued by the Trustee (or its affiliate) to the extent these investments are permitted under this Agreement. The Trustee and the Trust Administrator will disclose any services or relationships to each Employer before the Employer's commencement of participation in the Trust and at least annually thereafter, and any such services will be provided at standard commission rates, mark-ups or concessions.
Affiliated Broker-Dealers. To the Company's knowledge, none of the Company’s officers or directors is affiliated with any broker-dealer that conducts business in the United States or Canada, except as set forth in the Registration Statement, General Disclosure Package or the Prospectus or otherwise disclosed in writing to the Representative. 763344-4-33-v0.24 - 14 - 80-40671377
