AGILENT and Seller shall notify the other party of any change in the Personal Information control manager in writing in advance. Provided, however, that in the event prior notice cannot be given, written notice shall be given to the other party without delay after such change.

AGILENT and Seller shall notify the other party in writing of the Personal Information control manager who contacts and confirms the handling of the Personal Information related to the Services.

AGILENT. “Agilent” means Agilent Technologies, Inc. and/or any of its subsidiaries.

AGILENT. RESPONSIBILITIES a) Agilent will provide professional and prompt liaison with Reseller and will provide Reseller with access to, and use of Agilent Product marketing materials, promotions, information, data and documentation reasonably deemed necessary by Agilent for use by Reseller in the promotion, marketing and sale of Products in the Territory. b) Agilent will provide training to the ATP Channel Team on the following terms: 1) Reseller will pay [***] of Reseller’s personnel and 2) Training courses consistent with those provided by Agilent to its own personnel will be provided at [***] to Reseller. Other training courses will be offered to Reseller at prices determined by Agilent at time of enrollment. c) Agilent shall promptly provide all necessary information required by Reseller in order to transition Customers from Agilent to Reseller. d) Agilent will either provide the Reseller access to a product configurator or Agilent will assist Reseller in developing a solution that allows Reseller the ability to provide accurate Customer quotes.
