Common use of Agreement to Allow Delegation Clause in Contracts

Agreement to Allow Delegation. 1.1. The Seller and the Administrator agree (subject to the other provisions of this Schedule, including paragraph 2 (Appointment and Payment) and subject to the Funding Deed of Charge) that the Security Trustee may appoint or facilitate the appointment of an Authorised Third Party to implement, administer and carry out the duties and powers of the Security Trustee: (a) under the Seller's Power of Attorney; (b) in connection with and following a Completion Event; and (c) in connection with and following a Termination Event, (together the "Back-up Functions") 1.2. Each of the Seller and the Administrator shall authorise the Authorised Third Party on their behalf and in their name or otherwise to sign or execute or make any alteration or addition or deletion in or to any agreements or documents or certificates or instructions or notices which they are entitled or required to give, receive, implement, transact or become a party to in relation to the Back-up Functions or for doing any other act or thing required to be done by them under or in connection with the Back-up Functions and otherwise generally to sign, seal and deliver any agreement, assurance, document, certificate, instruction or act which may be required by the Authorised Third Party acting in connection with the Back-up Functions.
