Agreement to Amalgamate. Each of the Parties hereby agrees to the Amalgamation. The Amalgamating Corporations shall amalgamate to create Amalco on the terms and conditions set out in this Agreement.
Agreement to Amalgamate. The Amalgamating Corporations hereby agree to amalgamate as of the Effective Date and to continue as one corporation on the terms and conditions set out in this Agreement.
Agreement to Amalgamate. Upon and subject to the terms and conditions hereof and pursuant to sections 204, 205 and 206 of the CNCA and any required regulatory approvals, each of the Parties agrees to amalgamate with each other and to continue as one corporation without share capital, effective as of the Amalgamation Date.

Agreement to Amalgamate. 2.1 The Parties agree that Choom Sub and Tungsten shall amalgamate pursuant to the provisions of the BCBCA as of the Effective Date and continue as one corporation on the terms and conditions set out in this Agreement.
Agreement to Amalgamate. (1) Each Party hereby agrees, unless such steps have already been completed, that as soon as reasonably commercially practicable after the date hereof or at such other time as is specifically indicated below in this Section 2.1, and subject to the terms and conditions of this Agreement, it shall take the following steps indicated for it:
Agreement to Amalgamate. Forrester hereby agrees to and Acme hereby agrees to cause Acme Sub to agree to amalgamate pursuant to the provisions of Section 187 of the Act as of the Effective Date and to continue as one corporation on the terms and conditions set out in this Agreement.
Agreement to Amalgamate. Subject to approval by special resolution of their respective shareholders, the Amalgamating Corporations agree to amalgamate pursuant to the provisions of section 174 of the OBCA as of the Effective Date and to continue as one corporation upon the terms and conditions herein set out.
Agreement to Amalgamate. Subject to satisfaction or waiver of the conditions set forth in Section 5.1, Section 5.2 and Section 5.3 that, on the Effective Date, pursuant to Section 181 of the BCBCA, Truckfone and AcquisitionCo shall file the Articles of Amalgamation and amalgamate and continue as one corporation.
