Agreement to Sublease. Tenant agrees to lease to Subtenant and Subtenant hereby agrees to temporarily accept from Tenant for the term specified below, and upon all the conditions set forth herein, that portion of Tenant’s interest in the Premises, including improvements.
Agreement to Sublease. Operator agrees to sublease the Aircraft to Time Share Lessees on an “as needed and as available” basis, and to provide a fully qualified flight crew for all flights of each Time Share Lessee, in accordance with the terms and conditions of this Agreement.

The recitals set forth above are incorporated into this Sublease as part of the agreement by this reference.
Agreement to Sublease. Subject to satisfaction of the applicable conditions contained in Section 2.3 below, Sublessor hereby agrees to tender delivery of the Aircraft on the Delivery Date and simultaneously to sublease to Sublessee hereunder, and subject to satisfaction of the applicable conditions contained in Section 2.2 below, Sublessee hereby agrees to accept such delivery and to Sublease from Sublessor hereunder the Aircraft. By execution and delivery of the Sublease Supplement regarding the Aircraft, (i) Sublessor and Sublessee shall each confirm the satisfaction of the conditions contained in Section 2.3 and 2.2, respectively, below and (ii) Sublessee shall confirm to Sublessor that Sublessee has irrevocably accepted the Aircraft for all purposes hereof. Sublessee shall inspect the Aircraft on or prior to the Delivery Date and will become knowledgeable as to its operating condition.
Agreement to Sublease. Sublandlord subleases to Subtenant, and Subtenant subleases from Sublandlord, approximately 20,641 square feet of Premises Rentable Area (the "Subleased Premises Rentable Area") located on the third (3rd) floor of the Building and consisting of the entire Base Lease Premises (the "Subleased Premises") in accordance with and subject to the Base Lease and the terms, conditions and provisions of this Sublease. A floor plan depicting the Subleased Premises is attached hereto as Exhibit "A."
Agreement to Sublease. Sublessor hereby subleases to Sublessee, and Sublessee hereby subleases from Sublessor, those certain premises described in Section 3.2 below (the “Subleased Premises”) upon and subject to the terms, covenants and conditions set forth herein.

The Subleased Premises are being leased in their current as-is condition, and Sublessor shall have no obligation to make any improvements to the Subleased Premises.
Agreement to Sublease. Provided Sublessee is not in default of any of the terms of this Sublease or the 25th Floor Sublease either as of the date hereof or the 23rd Floor Sublease Commencement Date (as hereinafter defined), Sublessor hereby leases to Sublessee and Sublessee hereby hires from Sublessor the 23rd Floor Premises upon the terms hereinafter contained and, subject to and subordinate to the provisions of the Prime Lease, for a term (the “23rd Floor Sublease Term”) which shall commence on the date which shall be the date upon which Sublessor shall deliver possession of the 23rd Floor Premises to Sublessee (the “23rd Floor Sublease Commencement Date”) and shall end on September 29, 2016 (the “Sublease Expiration Date”), unless terminated sooner pursuant to the terms hereof. Notwithstanding anything to the contrary contained herein, Sublessor shall deliver possession of the 23rd Floor Premises to Sublessee, in the condition required pursuant to Section 5 herein, on the latest to occur of (i) full execution of this Sublease, (ii) receipt of the first month’s Base Rent (as hereinafter defined) which shall be paid to the Sublessor upon Sublessee’s execution of this Sublease but will be held undeposited until Prime Landlord’s consent referenced in point (iii) below is received and delivery of the Security Deposit (as hereinafter defined) to Sublessor (but Sublessor may deliver the 23rd Floor Premises prior to its receipt of the additional Security Deposit as contemplated by Section 11(e) of this Sublease), (iii) receipt of Prime Landlord’s consent to this Sublease or Sublessee’s occupancy of the 23rd Floor Premises pursuant to this Sublease, a copy of which shall be delivered by Sublessor promptly upon receipt to Sublessee, (iv) delivery of possession of the 25th Floor Premises from Sublessee to Sublessor in the condition required under the 25th Floor Sublease (except that Sublessee shall leave the 25th Floor Furniture (as hereinafter defined) in the 25th Floor Premises, (v) payment to Sublessor of any and all sums due under the 25th Floor Sublease through the Surrender Date (as defined below) and (vi) January 20, 2011. When the 23rd Floor Sublease Commencement Date has been determined, Sublessor shall deliver to Sublessee, and Sublessor and Sublessee shall execute a commencement date agreement in the form attached hereto as Exhibit C, confirming the actual 23rd Floor Sublease Commencement Date. Agreement to Sublease. Subject to the terms and conditions of this Sublease and to Landlord’s consent, Sublessor hereby subleases to Sublessee and Sublessee subleases and hires from Sublessor the Subleased Premises, together with all of Sublessor’s right, title and interest in and to the personal property of Sublessor listed and scheduled on Exhibit C attached hereto (the “Personal Property”), for a term commencing on the later to occur of: (i) Sublessor’s delivery of possession of the Subleased Premises, or (ii) Landlord’s consent to this Sublease as set forth in Section 13 below, or (iii) December 15, 2006 (the “Commencement Date”), and ending on December 17, 2010 (“Expiration Date”). If the Commencement Date has not occurred for any reason by January 15, 2007, then Sublessee may terminate this Sublease at any time until such Commencement Date has occurred by written notice to Sublessor, whereupon this Sublease shall terminate and Sublessor shall promptly refund to Sublessee the Security Deposit and all funds deposited by Sublessee with Sublessor under this Sublease.
