All Amendments in Writing. No waiver, amendment or modification of any provisions of this Agreement shall be effective unless in writing and signed by a duly authorized representative of the party against whom such waiver, amendment or modification is sought to be enforced. Furthermore, no provisions in either party’s purchase orders, or in any other business forms employed by either party will supersede the terms and conditions of this Agreement. All notices between the parties must be in writing and either delivered in person or by certified or registered mail, return receipt requested.

The terms and conditions of this Agreement shall apply to all Sales Orders except that in the event of a conflict between the terms of a Sales Order and the terms of this Agreement, the terms of the Sales Order shall prevail with respect to that Sales Order only, unless the provision on the Sales Order expressly amends the terms of this Agreement. Except for the foregoing, no provisions in OEM’s purchase orders, or in any other business forms employed by either party will supersede the terms and conditions of this Agreement, and no supplement, modification, or amendment of this Agreement shall be binding, unless executed in writing by an Authorized Representative of each party to this Agreement.

Purchase orders or similar documents relating to the Product issued by Licensee shall be for Licensee’s internal use only, and shall not be binding on the parties and shall have no effect on this Agreement.
