Allocation Percentage. On each Transfer Date, the Transferor shall pay to the Servicer, and the Servicer shall deposit into the Collection Account, in immediately available funds, the amount of Interchange to be so included as Series 1997-1 Allocable Finance Charge Collections with respect to the preceding Monthly Period and such Interchange shall be treated as a portion of Series 1997-1 Allocable Finance Charge Collections for all purposes of this Supplement and the Agreement. Notwithstanding the above, if the Rating Agency Condition is satisfied with respect thereto, the Transferor may, in lieu of transferring Interchange as set forth above, designate Discount Option Receivables pursuant to Section 2.12 of the Agreement in an amount approximately equal to the then current Interchange with respect to the Accounts.

Allocation Percentage. Buyer and Seller have agreed upon the value of each Lot and the resulting initial Allocation Percentage for each Lot in the Property as set forth in EXHIBIT B hereto. As Closings occur for each Lot or group of Lots, the Allocation Percentages for the remaining Lots for which Closings have not occurred shall be recalculated based upon the agreed upon values of such Lots. If at any time the parties are unable to agree upon the Allocation Percentage, the matter shall be conclusively determined by a majority vote of a panel of three arbitrators. Buyer shall appoint one arbitrator; Seller shall appoint another arbitrator; and the two arbitrators so chosen shall appoint a third arbitrator. Each arbitrator must have at least 5 years experience in land development and single family home construction in Minnesota. The arbitration shall be conducted under the Construction Industry Rules of the American Arbitration Association.
Allocation Percentage. The proceeds (the "Class A-1 Termination Proceeds") from such sale shall be immediately deposited into the Collection Account for the benefit of the Class A-1 Certificateholders. In the event that the Class A-2 Invested Amount is greater than zero on the Class A-2 Termination Date (after giving effect to deposits and distributions otherwise to be made on the Class A-2 Termination Date), the Trustee will sell or cause to be sold on the Class A-2 Termination Date Receivables (or interests therein) in an amount equal to the sum of (i) 110% of the Class A-2 Invested Amount on the Class A-2 Termination Date (after giving effect to such deposits and distributions) and (ii) the Available Subordinated Amount on the preceding Determination Date (after giving effect to the allocations, distributions, withdrawals and deposits to be made on the Distribution Date following such Determination Date); provided, however, that in no event shall such amount exceed the Series 1999-1 Allocation Percentage (for the Collection Period in which the Class A-2 Termination Date occurs) of Receivables on the Class A-2 Termination Date. Allocation Percentage. The remainder of the portion of the Trust Liquidation Proceeds allocated to the Principal Receivables shall be allocated as provided in Section 9.02(b) of the Agreement.
