Amendment Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, the Amendment Effective Date Certificate, dated the date of the Amendment Effective Date and duly executed and delivered by an Authorized Officer of each Borrower, in which certificate such Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of such Borrower made as of such date, and, at the time such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative Agent.
Amendment Effective Date Certificate. Holdings and Company shall have delivered to the Administrative Agent an originally executed Amendment Effective Date Certificate, together with all attachments thereto.
Amendment Effective Date Certificate. The Administrative Agent shall have received a certificate from the chief financial Authorized Officer of the Parent confirming the representations and warranties set forth in Article IV in form and substance satisfactory to the Administrative Agent.
Amendment Effective Date Certificate. Borrower shall have delivered to Administrative Agent an originally executed Amendment Effective Date Certificate.
Amendment Effective Date Certificate. The Administrative Agent shall have received the Amendment Effective Date Certificate, dated the Amendment Effective Date and duly executed and delivered by an Authorized Officer of the Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower as of such date, and, at the time each such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance satisfactory to the Lead Arrangers.

The Administrative Agent shall have received the Amendment Effective Date Certificate, dated the Second Amendment Effective Date and duly executed and delivered by a Responsible Officer of the Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct (in all material respects) representations and warranties of the Borrower made as of such date, and, at the time each such certificate is delivered, such statements shall in fact be true and correct.
Amendment Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, the Amendment Effective Date Certificate, dated the Amendment Effective Date and duly executed and delivered by an Authorized Officer, of each of Holdings, Intermediate Holdings and the Company, in which certificate each of Holdings, Intermediate Holdings and the Company shall agree and acknowledge that the statements made therein are true and correct representations and warranties of each of Holdings, Intermediate Holdings and the Company as of such date, and, at the time each such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative Agent.
Amendment Effective Date Certificate. The Lender shall have received a certificate, dated as of the Amendment Effective Date and in form and substance satisfactory to the Lender, duly executed and delivered by an Authorized Officer of the Borrower, in which certificate the Borrower shall certify, represent and warrant that, at the time such certificate is delivered, (i) all statements, representations and warranties set forth in Article IV below are true and correct immediately before and immediately after giving effect to the Amendment Effective Date, and (ii) all of the conditions set forth in this Article III have been satisfied.
Amendment Effective Date Certificate. The Facility Agent shall have received, with counterparts for each Lender, an Amendment Effective Date Certificate, substantially in the form of ANNEX I hereto, dated the Fourth Amendment Effective Date and duly executed and delivered by an Authorized Officer of the Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date under this Agreement, and, at the time such certificate is delivered, such statements shall in fact be true and correct in all material respects.
Amendment Effective Date Certificate. A certificate, dated the date of this amendment and with counterparts for each Lender, duly completed and executed by the chief executive officer, an Authorized Person, or the Treasurer of Micro, and substantially in the form of the attached EXHIBIT F-1 (and all documents and agreements required to be appended to that certificate must be in form and substance satisfactory to the Administrative Agent).
