Common use of Amendment Effective Date Certificate Clause in Contracts

Amendment Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, the Amendment Effective Date Certificate, dated the date of the Amendment Effective Date and duly executed and delivered by an Authorized Officer of each Borrower, in which certificate such Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of such Borrower made as of such date, and, at the time such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative Agent.

All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent Agents shall have received, with counterparts for each Lender, the received an Amendment Effective Date Certificate, dated the date of the Amendment Effective Date and duly executed and delivered by an Authorized Officer of Holdings and each Borrower, in which certificate such Borrower each of Holdings and the Borrowers shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of such Borrower made Person as of such date, date and, at the time such certificate is delivered, delivered such statements shall in fact be true and correct. All material documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative AgentAgents.

All documents and agreements required to be appended to the Amendment Effective Date Certificate shall be in form and substance reasonably satisfactory to the Administrative AgentAgents, shall have been executed and delivered by the requisite parties, and shall be in full force and effect.
