AMENDMENT OF. ARTICLE 16 OF THE TREATY
AMENDMENT OF. SECTION 1.01
AMENDMENT OF. SECTION 3.3.2. The Agreement is hereby amended by deleting the existing Section 3.3.2 in its entirety and replacing it with the following text:
AMENDMENT OF. ARTICLE 10 OF THE TREATY
(a) in paragraph 3, by deleting "The" and substituting therefor the words "Subject to Article 22 of this Treaty, the";
(b) by deleting in paragraph 4 -
(i) Chairman and the Vice-Chairman" and substituting therefor the words "Chairperson and Deputy Chairperson"; and
(ii) an agreed period" and substituting therefore the words "one year";
(c) in paragraph 5, by deleting "once" and substituting therefor the word "twice";
(d) by deleting paragraph 6 and substituting therefor the following new paragraph -
AMENDMENT OF. ARTICLE 11
AMENDMENT OF. Transactions: Fronting Banks may (at the request of the relevant Borrower) amend the tenor, face value, tonnage or other terms of a Trade LC to reflect a reported delay or change to the underlying Transaction, provided that:
AMENDMENT OF. ARTICLE V. Article V of the Credit Agreement is hereby amended by adding the following Sections at the end thereof:
AMENDMENT OF. SECTION 1.01.
(a) Each of the following current terms contained in Section 1.01 of the Indenture is amended and restated in its entirety as follows:
AMENDMENT OF. ARTICLE 13. American Ski and the Borrowers hereby agree that the foregoing provisions of this Article 13 constitute an agreement among the Agent and the Lenders (and the Agent and the Lenders acknowledge that except for the provisions of Section 13.6, American Ski and the Borrowers are not parties to or bound by such foregoing provisions) and that any and all of the provisions of this Article 13 (excepting Section 13.6) may be amended at any time by the Lenders and the Agent without the consent or approval of, or notice to, American Ski and the Borrowers (other than the requirement of notice to American Ski and the Borrowers of the resignation of the Agent and the appointment of a successor Agent).
AMENDMENT OF. SECTION 2.7. Section 2.7 of the Agreement is hereby amended in its entirety to read as follows:
