Common use of Amendment of Certificate Clause in Contracts

Amendment of Certificate. In connection with the admission to the Partnership of any Partner, the General Partner shall take all steps necessary and appropriate under the Act to amend the books and records of the Partnership and, to the extent the General Partner determines to be necessary or advisable, to file an amendment to the Certificate to reflect such admission and may for this purpose exercise the power of attorney granted pursuant to Section 2.04.

Amendment of Certificate. In connection with The General Partners shall take such steps as are necessary and/or required by the admission Act to effect an amendment of the Partnership Certificate and Exhibit “A” to this Agreement to reflect the substitution or addition of any Limited Partners. For this purpose, the General Partners shall have the authority to sign the amendment of this Agreement and the Certificate as attorney-in-fact for the assigning Limited Partner, the General Partner shall take all steps necessary Substitute Limited Partner, and appropriate under the Act to amend the books and records of the Partnership and, to the extent the General Partner determines to be necessary or advisable, to file an amendment to the Certificate to reflect such admission and may for this purpose exercise the power of attorney granted pursuant to Section 2.04remaining Limited Partners.
