Amendment of Memorandum. If during the offering any event occurs or any event known to the Company relating to or affecting the Company shall occur as a result of which the Memorandum as then amended or supplemented would include an untrue statement of a material fact, or omits to state any material fact necessary to make the statements therein, in light of the circumstances under which they were made, not misleading, or if it is necessary at any time after the Offering Date to amend or supplement the Memorandum to comply with the Act, the Company will immediately notify the Placement Agent thereof and the Company will prepare such further amendment to the Memorandum or supplemental or amended Memorandum or Memoranda as may be required and furnish and deliver to the Placement Agent, all at the cost of the Company, a reasonable number of copies of the supplemental or amended Memorandum which as so amended or supplemented will not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the Memorandum not misleading in the light of the circumstances existing at the time it is delivered.
Amendment of Memorandum. This MEMORANDUM may be amended by the SDRMA Board of Directors and such amendments are subject to approval of ENTITY’S signatory to this MEMORANDUM. Any ENTITY who fails or refuses to execute an amendment to this MEMORANDUM shall be deemed to have withdrawn from the PROGRAM on the next annual renewal date.
Amendment of Memorandum. The Chief Executive Officers may amend this Memorandum at any time upon agreement, provided that any amendment is consistent with the protection of public health in relation to the supply of drinking water.
Amendment of Memorandum. Upon the occurrence of any event that would cause the Memorandum, during the Offering, to include an untrue statement of a material fact or to omit to state a material fact necessary to make the statements therein not misleading, the Fund and/or General Partner will promptly notify you of the event and promptly prepare and furnish to you such number of copies as you may request of an amended or supplemented Memorandum that shall not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading.
Amendment of Memorandum. Promptly upon the occurrence of any event which would cause the Memorandum to include during the Offering Period an untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading, the Company will promptly notify you of the event. The Company will within a reasonable period of time prepare and furnish to you such number of copies as you may request of an amendment or amendments of, or a supplement or supplements to, the Memorandum which will amend or supplement the Memorandum so that as amended or supplemented it shall not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading.
Amendment of Memorandum. This Memorandum, including the Protocols attached hereto, may be amended from time to time and at any time provided that such amendment is in writing and is executed by both of the parties hereto.
Amendment of Memorandum. This Memorandum may be amended by a majority vote of the Committee and signature on the Memorandum by the Member’s designated representative, or alternate who shall have authority to execute this Memorandum.

The Companies will within a reasonable period of time prepare and furnish to you such number of copies as you may request of an amendment or amendments of, or a supplement or supplements to, the Memorandum (in form and substance satisfactory to you) which will amend or supplement the Memorandum so that as amended or supplemented it shall not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements therein not misleading.
Amendment of Memorandum. 7.1 Where Hunter Water’s Operating Licence is amended then the parties shall meet to discuss the implications of the amendments and, acting reasonably, revise the Memorandum as required.
Amendment of Memorandum. Any substantial alteration, modification, or waiver shall be agreed to in writing and signed by both parties.
