Amendment of Schedule 2. 2. The “Term” Section of Schedule 2.2 is hereby amended and restated in its entirety to read as follows:
Amendment of Schedule 2. 1. Schedule 2.1 of the Credit Agreement (Commitments and Applicable Percentages) is hereby amended in its entirety to read as set forth in the Schedule 2.1 attached to this Amendment.
Amendment of Schedule 2. 07(b). Schedule 2.07(b) to the Purchase Agreement is hereby deleted in its entirety and replaced with the Schedule 2.07(b) attached hereto as Annex 1.
Amendment of Schedule 2. 1(a). Schedule 2.1(a) (Owned Immovable Property) to the Purchase and Sale Agreement shall be amended and replaced in its entirety as required to reflect the Interconnection Facilities Survey upon (x) delivery of such modified Schedule 2.1(a) from Purchaser to Seller promptly after execution of this Amendment and (y) attachment of such modified Schedule 2.1(a) hereto and to the Purchase and Sale Agreement within forty five (45) days after such delivery in form and substance reasonably satisfactory to each of Seller and Purchaser.
Amendment of Schedule 2. 2. Schedule 2.2 of the Investment Agreement is hereby amended to read as follows:
Amendment of Schedule 2. 07. The portion of Schedule 2.07 to the Purchase Agreement titled “Allocation of Purchase Price (Leases)” is hereby deleted in its entirety and replaced with the attached Annex A. For the avoidance of doubt, the portion of Schedule 2.07 titled “Allocation of Purchase Price (Xxxxx)” shall not be modified by this First Amendment and shall remain in full force and effect.
Amendment of Schedule 2. 01. Schedule 2.01 of the Existing Credit Agreement is hereby replaced with a new Schedule 2.01 in the form and content attached hereto as Exhibit “A”.
Amendment of Schedule 2. 01A. Schedule 2.01A to the Credit Agreement is hereby deleted and replaced with Schedule 2.01A attached hereto as Annex 2.
Amendment of Schedule 2. 01. Schedule 2.01 of the Credit Agreement is deleted and replaced in its entirety with a new Schedule 2.01 (the “New Schedule 2.01”) that will, upon completion of the allocations of commitments to make New Term Loans and New Tranche A Credit-Linked Deposits in accordance with the terms hereof, set forth each Lender’s Term Loan Commitment, Tranche A Credit-Linked Deposit and Revolving Commitment as of the Second Amendment Effective Date, and shall be furnished to each New Lender and the Borrower promptly upon the completion of such allocations.
Amendment of Schedule 2. 2. Schedule 2.2 to the Agreement is deleted and replaced with the new Schedule 2.2 attached hereto that reflects the credits established under Section 2 as of the date of this Amendment. Schedule 2.2 is subject to final adjustment prior to Closing as provided in Section 2.
