Amendment to Purchase Price. Schedule 1 to the Agreement is hereby deleted in its entirety, and Revised Schedule 1 attached hereto is hereby inserted in lieu thereof. The Agreement is hereby amended to the extent necessary to reflect that the Purchase Price for the Lots shall be as set forth on Revised Schedule 1 attached hereto.
Amendment to Purchase Price. Section 7(b) of the Rights Agreement is hereby amended to read in its entirety: “The Purchase Price for each one one-hundredth of a share of Preferred Stock issued pursuant to the exercise of a Right shall initially be $140.00, shall be subject to adjustment from time to time as provided in Sections 11 and 13 hereof and shall be payable in lawful money of the United States of America, in accordance with paragraph 7(c) below.”
Amendment to Purchase Price. The Purchase Price shall be amended to reflect either extra costs or savings as approved in accordance with the Master Agreement.
Amendment to Purchase Price. The second sentence of Section 1.1 of --------------------------- the Stock Purchase Agreement is amended to read as follows: "The purchase price for the Shares purchased herein (the "PURCHASE PRICE") shall be an amount equal to (a) the Net Equity Value determined by reference to the Closing Financial Data, less (b) $170,069.13."
Amendment to Purchase Price. Section 1.4(a) of the Purchase Agreement is hereby deleted in its entirety and replaced with the following:
Amendment to Purchase Price. The amount set forth in Section 2.1 of the PSA as the Purchase Price shall be amended from Sixteen Million Five Hundred Thousand Dollars ($16,500,000) to Sixteen Million Dollars ($16,000,000).
Amendment to Purchase Price. Section 1.1 of the Agreement is hereby amended to provide that the Shares shall be purchased at the New Purchase Price.
Amendment to Purchase Price. Section 2.2.1 of the Agreement is amended by replacing the phrase and dollar amount “Two Hundred Fifty-One Million Three Hundred Seventy-Seven Thousand Three Hundred Ninety-Two Dollars ($251,377,392.00)” with the phrase and dollar amount “Two Hundred Forty-Nine Million Seventy-Seven Thousand Three Hundred Ninety-Two Dollars ($249,077,392.00)”.
Amendment to Purchase Price. Section 1.5 of the Asset Purchase Agreement is hereby amended and restated in its entirety, effective as of December 19, 2007, to read as follows:
Amendment to Purchase Price. Section 2.7(b)(i) of the Agreement is amended by striking the words "four hundred and fifty million (450,000,000)" beginning in the tenth line thereof and replacing such words with "five hundred million (500,000,000)."
