Amendments to Article IX. Article IX of the Credit Agreement is hereby amended as follows:
Amendments to Article IX a. Section 9.4(a) is hereby amended by (i) deleting the number "127,800" opposite the date 3/31/00 in the table set forth therein and inserting the number "116,500" therefor and (ii) deleting the number "141,000" opposite the date 6/30/00 in the table set forth therein and inserting the number "125,500" therefor; and
Amendments to Article IX. No provision of this Article IX may be amended or waived absent the prior written consent of all Lenders and Agent. Borrower's approval shall not be required for the amendment or waiver of any provision of this Article IX; provided, however, Borrower's written consent shall be required for any amendment of this Article IX that would eliminate the position of Agent.
Amendments to Article IX a. Section 9.1 is deleted in its entirety, and the following is inserted in lieu thereof:
Amendments to Article IX. (a) Solely with respect to the 2021 Notes, Section 901 of the Indenture shall be amended by deleting the “.” at the end of clause (14) thereof and replacing it with “; or” and inserting the following immediately following clause (14) thereof:
Amendments to Article IX. The Agent and the Lenders may amend any provision in this ARTICLE IX, except Section 9.01, without prior notice to or the consent of the Borrower, and the Agent shall provide a copy of any such amendment to the Borrower reasonably promptly thereafter; provided however if any such amendment would materially adversely affect any rights, entitlements, obligations or liabilities of the Borrower, such amendment shall not be effective until the Borrower provides their written consent thereto, such consent not to be unreasonably withheld or arbitrarily delayed.
Amendments to Article IX. Article IX is hereby amended by (a) replacing the phrase “the Borrower covenants and agrees with the Lenders that:” immediately before Section 9.01 with the phrase “The Borrower (and each Parent Guarantor, in the case of Section 9.01, Section 9.04(a), Section 9.24, Section 9.25, Section 9.26 and Section 9.27) covenants and agrees with the Lenders that:” and (b) adding a new Section 9.24, Section 9.25, Section 9.26 and Section 9.27 thereto to read as follows:
