Annual Bonus Awards. Parent shall cause the annual bonus opportunities with respect to the Company's fiscal year ending February 3, 2001 under the Company's Management Incentive Plan and 2000 Long-Term Incentive Program to remain in place, subject to such reasonable adjustments in the performance targets as Parent determines are necessary to reflect consummation of the transactions contemplated by this Agreement.

Annual Bonus Awards. For fiscal years ending after September 30, 2000, the Executive shall be eligible and permitted, during the Employment Period, to participate in any annual bonus plans and similar benefit that may be available to other senior executives of the Corporation generally, on the same terms and conditions as such other executives.
Annual Bonus Awards. The Executive shall be eligible and permitted, during the Employment Period, to participate in the annual Executive Bonus Plan and similar plans that may be eligible to other senior executives of the Corporation generally, on the same terms and conditions as such other executives. The Board shall make its determination of the amount of the Executive's annual Bonus Award, if any, within 30 days following the end of each fiscal year, which Bonus Award shall be paid to the Executive within 60 days following the end of such fiscal year.
Annual Bonus Awards. During the Employment Period, but only with respect to the fiscal years ended December 31, 2001, 2002, 2003 and 2004 (the "Bonus Period"), the Executive shall be eligible to receive various annual bonus awards following the end of each such fiscal year, all on the terms and conditions set forth in this Section 2(b)(iii).

The amount of the Executive's annual Bonus Award as determined by the Compensation Committee in its discretion shall be based on the financial performance achieved by the Company during the applicable fiscal year as measured by either the Company's attainment of its business plan goals or other standards as established by the Compensation Committee in its discretion from time to time. The Compensation Committee shall make its determination of the amount of the Executive's annual Bonus Award, if any, within 60 days following the end of each fiscal year, which Bonus Award shall be paid to the Executive within 90 days following the end of such fiscal year. Except as modified by the provisions of this Section 3(b) and of Section 6(b), Section 6(c), and Section 6(d) hereof, payments of annual Bonus Awards to the Executive by the Company shall be governed by the terms of the Company's Incentive Plan as it is in effect from time to time.
