Annual Price Adjustments. The Price may be adjusted upward or downward on each anniversary of the Commencement Date by an amount that is mutually agreed upon by Supplier and Customer and that is reflective of then current market conditions.

We also reserve the exclusive right to make additional adjustment to the price of our service under this agreement in the event the equipment covered by this agreement is modified from its present state, as agreed in writing between the parties. Early Payment Discount. You may elect to pay in advance for twelve (12) months of service described in this agreement. Such a prepayment entitles you to a 5% discount from the annual price in effect at the time of payment. Overdue Invoices. Empire Elevator elects to suspend service, we shall not be responsible for personal injury, death, damage to property (including damage to the equipment that is the subject matter of this agreement) or losses of any other type or kind that is in any way related the Empire Elevator’s suspension of service. Upon resumption of service, you will be responsible for payment

This contract yearly service fee may increase by as much as 5% every anniversary. We also reserve the exclusive right to make additional adjustment to the price of our service under this agreement in the event the equipment covered by this agreement is modified from a party other than us. Early Payment Discount. You may elect to pay in advance for Twelve (12) months of service described in this agreement. Such a prepayment entitles you to a 5% discount from the annual price in effect at the time of payment. OVERDUE INVOICES. If you do not pay any sum due to LEGEND-LIFTS related to your equipment described in this agreement, regardless of whether it is billed pursuant to this agreement or any other with us, within sixty (60) days from the billing date, we may also choose to suspend all service until all amounts due have been paid in full. If overdue invoices remain unpaid for one hundred twenty (120) days or more we may terminate our obligations under this agreement. If LEGEND-LIFTS elects to suspend service, we shall not be responsible for personal injury, death, damage to property (including damage to the equipment that is the subject matter of this agreement) or losses of any other type or kind that is in any way related the LEGEND-LIFTS suspension of service. Upon resumption of service, you will be responsible for payment to LEGEND-LIFTS for all costs we incur that result from our suspension of service and to remedy any damage caused to your equipment during that time. Time is of essence.
Annual Price Adjustments. OXB may increase the Batch Fee and/or Service Fees and its FTE rate annually with effect from [***], provided that such annual increase shall [***] as maintained by [***] the prior [***] months. OXB shall inform Client of any price adjustment in writing.
Annual Price Adjustments. On December 1st of each year during the Term, commencing December 1, 2004, Supplier shall give Customer a notice in writing that shall include evidence of any increase or decrease in Supplier's actual costs in the manufacturing of the Products, including, but not limited to costs of Raw Materials (but excluding the cost of resin raw material) and direct labor, if any. On January 1st of each year during the Term, commencing January 1, 2005, either Party may notify the other in writing of any desired change in the price of any of the Products as a result of an increase or decrease in Supplier's actual costs in the manufacturing of the Products. After a Party has received such notice, if such Party does not accept any or all of such price changes, Supplier and Customer shall negotiate in good faith for a period not to exceed ten (10) days. In the absence of agreement regarding any proposed price changes, the prices shall remain unchanged pending resolution pursuant Article 12. Any mutually, agreed-upon change in the price for the Products will be documented in writing signed by Customer and Supplier and will be implemented on the date agreed by the Parties.
