Common use of Applicable Law and Waiver of Immunity Clause in Contracts

Applicable Law and Waiver of Immunity. This Agreement shall be governed by and construed in accordance with the laws of England. To the extent (if at all) that the Shipper may in any jurisdiction in which proceedings may at any time be taken for the enforcement of this Agreement claim for itself or its assets immunity from suit, execution, attachment (whether in aid of execution, before judgment or otherwise) or other legal process and to the extent (if at all) that in any such jurisdiction there may be attributed to the Shipper or its assets any such immunity (whether or not claimed), the Shipper irrevocably agrees not to claim and irrevocably and unconditionally waives such immunity to the fullest extent permitted by the laws of such jurisdiction and consents in respect of each jurisdiction in which proceedings may at any time be taken for the enforcement of this Agreement to the enforcement or execution of any order or judgment that may be made or given against it in any such proceedings. Nothing in any or all of Clauses 9, 14 and 15 shall affect a Party's right, where appropriate, to apply to any court of competent jurisdiction seeking: (a) an injunction, specific performance or similar court order to enforce the obligations of the other party; or (b) any interim or provisional relief that may be necessary to protect the rights or property of that party pending resolution of the Dispute in accordance with Clause 14 or 15.
