APPLICATION OF THIS SCHEDULE. 3.1 This Schedule applies to and is binding on La Trobe University in respect of all LTU/DEDJTR Researchers employed in the Biosciences Research Centre and the Union.
3.2 No part of the Agreement (other than this Schedule) applies to LTU/DEDJTR Researchers unless expressly stated in this Schedule.
APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Retention Account otherwise than in accordance with this Schedule 6.
APPLICATION OF THIS SCHEDULE. The provisions of this Part 6 of the Schedule shall operate to limit the liability of the Warrantors in respect of any Claim.
APPLICATION OF THIS SCHEDULE. The provisions of this schedule 5 shall, together with and subject to clause 5.2, operate to limit the liability of the Sellers in respect of any Claim.
APPLICATION OF THIS SCHEDULE. The parties intend that all of the provisions of this Schedule 6 apply to any Claim against the Seller (for the avoidance of doubt this does not include any claim against the Seller for any breach of the Tax Warranties or any claim under the Tax Covenant, which shall be subject solely to the provisions of the Tax Covenant and to paragraphs 2(a)(ii), 2(b), 3.2, 4, 7, 8 and 11 only of this Schedule 6, and solely with respect to any claim against the Seller for any breach of the Tax Warranties, to paragraph 5 of this Schedule 6).
APPLICATION OF THIS SCHEDULE. The provisions of this Schedule 2 shall apply to any claim against the Vendor for breach of the Vendor Warranties.
APPLICATION OF THIS SCHEDULE. The provisions of this schedule 8 shall apply to all Warranty Claims and Tax Claims, save that Tax Claims shall be subject solely to the limitations set out in paragraphs 2.1, 2.2, 2.3, 2.4, 2.5, 4.2, 5, 6, 9, 11 and 14 of this schedule to the extent expressed to be applicable, and Fundamental Warranty Claims shall be subject solely to the limitations set out in paragraphs 2.4, 2.5, 3, 4.1, 5, 6 and 7 of this schedule.
APPLICATION OF THIS SCHEDULE. Any of the restrictions proscribed by any other paragraph of this Schedule may be waived or varied with the prior written consent of the Buyer and subject to such conditions as it may impose.
APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Escrow Account otherwise than in accordance with this Schedule 7.
APPLICATION OF THIS SCHEDULE. 2.1 The provisions contained in this schedule shall apply from the Subscription Date. Prior to this, the following provisions shall apply in relation to the Company:
(a) The sole director shall be Xxxxxx Xxxxx.
(b) The Shareholder agrees that it shall not remove Xxxxxx Xxxxx.
(c) If for any reason Xxxxxx Xxxxx ceases to be a director, RREEF shall nominate a replacement director, and the Shareholder agrees to appoint that nominated party.
(d) No board resolution shall be passed without the consent of the Shareholder.
