Appointment of Sub-processors. Client acknowledges and agrees that (a) Data Processor’s Affiliates may be used as Sub-processors; and (b) Data Processor and/or Data Processor’s Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services.
Appointment of Sub-processors. Customer acknowledges and agrees that (a) Xxxxx’s Affiliates may be retained as Sub- processors; and (b) Braze and Xxxxx’s Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Braze Services. Braze or a Braze Affiliate has entered into a written agreement with each Sub-processor containing, in substance, the same data protection obligations as in this DPA with respect to the protection of Personal Data to the extent applicable to the nature of the services provided by such Sub-processor.
Appointment of Sub-processors. 10.1 The Data Processor shall not sub-contract any of its obligations or rights under this Agreement without the prior written consent of the Data Controller (such consent not to be unreasonably withheld).
10.2 In the event that the Data Processor appoints a Sub-Processor (with the written consent of the Data Controller), the Data Processor shall:
10.2.1 enter into a Sub-Processing Agreement with the Sub-Processor which shall impose upon the Sub-Processor the same obligations as are imposed upon the Data Processor by this Agreement and which shall permit both the Data Processor and the Data Controller to enforce those obligations; and
10.2.2 ensure that the Sub-Processor complies fully with its obligations under the Sub-Processing Agreement and the GDPR.
10.3 In the event that a Sub-Processor fails to meet its obligations under any Sub- Processing Agreement, the Data Processor shall remain fully liable to the Data Controller for failing to meet its obligations under this Agreement.
Appointment of Sub-processors. You acknowledge and agree that (a) Our Affiliates may be retained as Sub-processors; and
(b) We and Our Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services and (c) that We may continue to use those Sub-processors already engaged by Us or Our Affiliates as at the date of this Addendum, which are listed in Schedule A. We or Our Affiliate has entered into a written agreement with each Sub-processor containing data protection obligations not less protective than those in this Addendum with respect to the protection of Your Personal Data to the extent applicable to the nature of the services provided by such Sub-processor. You acknowledge and agree that We may remove Sub-processors at Our own discretion.
Appointment of Sub-processors. Client acknowledges and agrees that (a) Shiji Affiliates may be used as Sub-processors; and (b) Shiji and/or Shiji Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services.
Appointment of Sub-processors. For the purpose of the appointment of Sub- processors, Client acknowledges and agrees that Provider may engage third-party Sub- processors in connection with the provision of the Services, including without limitation the Processing of Client Personal Data.
Appointment of Sub-processors. 6.1. We shall not subcontract any of Our processing obligations under this DPA without Your prior written consent. For the purposes of this DPA, You hereby authorize Us to use the Sub- Processors listed in Schedule 1.
6.2. Where We appoint a Sub-Processor in accordance with clause 6.1, We shall ensure that each Sub-Processor's contract:
6.2.1. is on terms that are consistent with and at least as onerous as those set out in this DPA;
6.2.2. is terminated immediately on termination of this DPA for any reason; and
6.2.3. to the extent applicable, flows down the same obligations as are applicable to Us (and Our Sub-Processors) as set out in any of EU standard contractual clauses which may be entered into between You and Us.
6.3. We shall at all times remain liable for the acts and omissions of any Sub-Processor as if such acts and omissions were those of Us.

Customer acknowledges and agrees that (a) AudioCodes Affiliates may be retained as Sub- processors; and (b) AudioCodes and AudioCodes Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services. AudioCodes or an AudioCodes Affiliate has entered into a written agreement with each Sub-processor detailed in Annex 3 containing data protection obligations not less protective than those in this Agreement with respect to the protection of Customer Data to the extent applicable to the nature of the Services provided by such Sub-processor. For clarity purposes, staff contractually linked to a Processor or Sub-processor that have demonstrably been bound to respect the confidentiality as per the Agreement shall not be considered Sub-processors in terms of this DPA.

ClickDimensions has entered into an agreement with each Sub-processor containing data protection obligations not less protective than those in this DPA with respect to the protection of Customer Data to the extent applicable to the nature of the Services provided by each such Sub-processor.

Customer acknowledges and agrees that (a) Supplier’s Affiliates may be retained as Sub-processors; and (b) Supplier and Supplier’s Affiliates respectively may engage third-party Sub-processors in connection with the provision of the Services. Supplier or a Supplier Affiliate has entered into a written agreement with each Sub-processor containing, in substance, data protection obligations no less protective than those in the Agreement with respect to the protection of Customer Data to the extent applicable to the nature of the Services provided by such Sub-processor.
