Appraisal Rights and/or Dissenters' Rights. At or prior to Closing, no beneficial or record owner of any outstanding shares of BMTS Common Stock shall have exercised or shall have given notice to CET or BMTS of their intent to exercise any rights under applicable state law, if any, to dissent from the Merger or obtain the payment of the fair market value of such shares of BMTS Common Stock in lieu of participating in the Merger in accordance with the terms and subject to the conditions set forth herein.
Appraisal Rights and/or Dissenters' Rights. At or prior to Closing, no beneficial or record owner of any outstanding shares of DCI Common Stock shall have exercised or shall have given notice to SKYLYNX or DCI of their intent to exercise any rights under applicable state law, if any, to dissent from the Merger or obtain the payment of the fair market value of such shares of DCI Common Stock in lieu of participating in the Merger in accordance with the terms and subject to the conditions set forth herein.

At or prior to Closing, no beneficial or record owner of any outstanding shares of Vairex Common Stock shall have exercised or shall have given notice to Guardian or Vairex of their intent to exercise any rights under applicable state law, if any, to dissent from the Merger or obtain the payment of the fair market value of such shares of Vairex Common Stock in lieu of participating in the Merger in accordance with the terms and subject to the conditions set forth herein.

At or prior to Closing, no beneficial or record owner of any outstanding membership interests of Infinivive shall have exercised or shall have given notice to Vitro or Infinivive of their intent to exercise any rights under applicable state law, if any, to dissent from the Exchange or obtain the payment of the fair market value of such membership interests of Infinivive in lieu of participating in the Exchange in accordance with the terms and subject to the conditions set forth herein.

At or prior to Closing, no beneficial or record owner of any outstanding shares of BlueStream Common Stock shall have exercised or shall have given notice to XML or BlueStream of their intent to exercise any rights under applicable state law, if any, to dissent from the Exchange or obtain the payment of the fair market value of such shares of BlueStream Common Stock in lieu of participating in the Exchange in accordance with the terms and subject to the conditions set forth herein.

At or prior to Closing, no beneficial or record owner of any outstanding shares of ADTECH Common Stock shall have exercised or shall have given notice to SKYLYNX or ADTECH of their intent to exercise any rights under applicable state law, if any, to dissent from the Merger or obtain the payment of the fair market value of such shares of ADTECH Common Stock in lieu of participating in the Merger in accordance with the terms and subject to the conditions set forth herein.

At or prior to Closing, beneficial record owners holding no more than 2%, of the issued and outstanding shares of OPI Common Stock and no beneficial record owners of the OPI Preferred Stock shall have exercised or shall have given notice to ONSOURCE or OPI of their intent to exercise any rights under applicable state law, if any, to dissent from the Merger or obtain the payment of the fair market value of such shares of OPI Common Stock in lieu of participating in the Merger in accordance with the terms and subject to the conditions set forth herein.
