Approved ProjectThis Agreement is intended only and solely to allow partial abatement of the sales and use taxes and/or property taxes upon Owner’s YELLOW PINE SOLAR II, LLC (Facility) according to the representations made in Owner’s Application Filing No. (AFN) 23-0920SPV (Application) filed July 17, 2023, the Findings of Fact, Conclusions of Law, and Order (Order) issued by the Director on January 31, 2024 regarding AFN 23-0920SPV resultant from a public hearing held by the Director on January 31, 2024.
Approved Project. A Construction Project or design of a Construction Project funded partially or in whole by Prepayments and approved by the Participants.
Approved Project. 9.1 The Parties acknowledge and agree that, as at the Commencement Date of this Deed, You are responsible for carrying out the Activities for the Approved Project, as described in Schedule A. 9.2 You must carry out the Activities for the Permitted Purpose and in furtherance of the Objectives. 9.3 The EPA will have no liability or responsibility with respect to the cost of carrying out the Activities and the costs incurred by You in discharging Your responsibilities and performing Your obligations, under this Deed beyond the Grant.
Approved Project. A project funded by any means that is approved by the Parties, as provided herein. Associated Transmission Systems. The Xxxxxx-Xxxxx Project Transmission System, the Salinity Project Distribution System, and the Levee Project Distribution System. Capital Improvements. New permanent structural or equipment changes that are or will be capitalized by WAPA or DSW. Capital RRADs. RRADs associated with the Desert Southwest Region Systems that WAPA capitalizes rather than fully expensing the cost in the first year. Customer. An entity with one or more contractAgreements with WAPA, with a term of at least one year, for i) firm-point-to-point or network transmission service on the Xxxxxx-Xxxxx Project or Intertie Project systems; ii) firm electric service and/or Xxxxxx-Xxxxx Project Priority Use Power service from Federal hydropower projects that include transmission service on the Xxxxxx-Xxxxx Project or Intertie Project systems; or iii) firm transmission service on the Xxxxxx-Xxxxx Project or Intertie Project systems. Customer Funded Projects. Customer Funded Projects are those projects and facilities, including RRADs, that are: (1) funded and constructed by a Customer; (2) connected to and integrated with the Desert Southwest Region Systems; (3) operated by DSW or WAPA but still owned by the Customer, such as through a lease agreement; and (4) whose costs incurred by WAPA or DSW in operating and maintaining the same should be excluded from the rates until the asset is transferred to the Desert Southwest Region Systems..
Approved Project. As it applies to any portion of the Premises, Concessionaire’s construction, furnishing, fixturing, and remodeling of such portion of the Premises as reviewed and approved by City in accordance with the Tenant Work Permit Handbook.
Approved Project. If the Initial Project is an Approved Project, the conditions set forth in Section 6.4 shall be satisfied with respect to the Approved Project Company that owns the Initial Project; provided that the condition set forth in clause (iii) of Section 6.4(b) shall require the prepayment of Loans in an amount equal to the greater of (a) the amount of Loans that would otherwise be required to be prepaid pursuant such clause (iii) and (b) the aggregate amount of Loans borrowed hereunder in respect of the Initial Project that are outstanding as of the date on which the replacement occurs.
Approved Project. The Subject Project shall be an Approved Project as of the Credit Event Date.
Approved Project. The Port’s approval of the Project, identification of the Eligible Tenant Improvements and establishment of the Tenant Reimbursement Amount are all predicated on its review of the Project Documents. These Project Documents are specifically incorporated into this Agreement by this reference. Tenant acknowledges that any changes to the Project from that reflected in the Project Documents may affect the Port’s approval, the determination of the Eligible Tenant Improvements and/or the Tenant Reimbursement Amount.
Approved Project. If Lender approves such Eligible Project as set forth in Section 2.2(ii) above (herein, an “Approved Project”), Lender shall issue a Mortgage Loan Application for such Approved Project within five (5) Business Days after delivery of the Lender Notice. Company may, in its sole discretion, either submit or elect not to submit to Lender any such Mortgage Loan Application within the time periods set forth therein. If Company accepts any such Mortgage Loan Application then, subject to the terms and provisions of this Agreement and the Mortgage Loan Application (which shall include provisions allowing Lender to either accept or reject the Mortgage Loan Application), Lender, Company and the applicable Project Borrower shall proceed to finalize and enter into the Project Loan Documents for such Approved Project consistent with the terms and subject to the conditions set forth in this Agreement and the Project Loan Documents; provided, however, that if prior to the date the Project Loan Documents are entered into, Lender’s due diligence uncovers facts or circumstances which are inconsistent with the information in the Project Review Request or otherwise adversely affects the Eligible Project, Lender, by providing written notice to Company, can revoke its previous approval of such Eligible Project, in which event such Eligible Project shall no longer be an Approved Project. Each Mortgage Loan Application issued pursuant to the first sentence of this Section 2.3 shall be on Lender’s then-current form and shall include, subject to the agreement of Company and Lender otherwise, the following provisions: (1) a Loan term of between 5 and 10 years, (2) interest only payments (no principal amortization) throughout the term of such Loan, (3) such Loan will be closed to prepayment for the first two (2) years of the term of such Loan (the “Prepayment Lockout Period”) and then will be prepayable in whole or in part upon payment of the Prepayment Fee, (4) a requirement that the applicable Project Borrower deliver to Lender a good faith deposit (the “Deposit”) equal 1% of the Loan Amount for a Loan with a term of five (5) years, 1.5% of the Loan Amount for a Loan with a term of seven (7) years, and 2% of the Loan Amount for a Loan with a term of ten (10) years, (5) a requirement that the applicable Project Borrower deliver to Lender a processing fee equal to $25,000, which processing fee shall be non-refundable in all circumstances, (6) the ability of the applicable Project Borr...
Approved Project. All requirements for the Project to which such Working Capital Loans relate to constitute an Approved Project shall have been satisfied (or waived by the Lender), including, without limitation, the requirement that Notice to Proceed has been delivered pursuant to the EPC Contract associated with such Approved Project (except in the case where such Project was approved as an Approved Project pursuant to Section 2.1(b) with Working Capital Loans to be initiated prior to the issuance of a Notice to Proceed).
