This Agreement sets forth the terms and conditions upon which the Seller will sell to the Buyer, and the Buyer will purchase from the Seller, all of the business, property, assets and goodwill of the Seller except those assets specifically excluded. All of such business operations of Seller to be purchased by the Buyer hereunder are referred to herein as the "Business," and references to the "Business" are not intended to include any other assets of the Seller. In consideration of the mutual agreements contained herein, intending to be legally bound hereby, the parties hereto agree as follows:
