Articles of Amalgamation. The Articles of Amalgamation of Amalco shall be in the form annexed hereto as Exhibit “A”.
Articles of Amalgamation. The articles of amalgamation of Amalco shall be in the form set out in Schedule "A" attached hereto.
Articles of Amalgamation. 6.1 The Amalgamating Corporations shall jointly file with the Director under the Act, Articles of Amalgamation and such other documents as may be required by the Act to give effect to the Amalgamation.
7.1 This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario.
Articles of Amalgamation. Upon each of the Amalgamating Corporations approving this Agreement in accordance with the OBCA, the Amalgamating Corporations will execute and deliver to the Director under the OBCA, the Articles of Amalgamation, in duplicate, and apply for a Certificate of Amalgamation for the purpose of bringing this Amalgamation into effect.
Articles of Amalgamation. Upon the Lucid Shareholders and FSD, as the sole shareholder of Subco, approving the Amalgamation on the terms and subject to the conditions set forth in this Agreement, in each case in accordance with Applicable Laws, and provided that the conditions to the completion of the Amalgamation specified in Sections 18, 19, and 20 hereof have then been satisfied or waived (to the extent such waiver is permitted hereunder), Lucid and Subco shall jointly file, with the Director appointed under the Act, as soon as reasonably practicable and within five (5) Business Days after such conditions to the completion of the Amalgamation have been satisfied or waived, the Articles of Amalgamation and such other documents as may be required pursuant to the Act.
Articles of Amalgamation. The Articles of Amalgamation shall implement the Amalgamation, as a result of which, among other things, each holder of Repap Common Shares will be entitled to receive one Amalco Special Share for each Repap Common Share.
Articles of Amalgamation. Upon the shareholders of Braingrid and the shareholder of Newco approving, by special resolution, the Amalgamation, this Agreement and any variations thereof, and provided that the conditions to the completion of the Amalgamation specified herein and in the Acquisition Agreement have then been satisfied or waived, Newco and Braingrid shall jointly file, in duplicate, with the Director, articles of amalgamation in prescribed form providing for the Amalgamation and such other documents as may be required pursuant to the CBCA.
Articles of Amalgamation. Upon the shareholder of BackWeb and the shareholders of Lanacom approving the Amalgamation, this Agreement and any variations thereof, BackWeb and Lanacom shall as promptly as practicable thereafter complete and send to the Director articles of amalgamation in prescribed form providing for the Amalgamation and such other documents as may be required pursuant to the OBCA.
Articles of Amalgamation. 13.1 Challenger and Global hereby agree that the articles of amalgamation of Amalco shall be the Articles of Amalgamation.
13.2 Subject to the provisions hereof, Challenger and Global will jointly file, with the Director, the Articles of Amalgamation of Amalco and such other documents as may be required by the Act to give effect to the Amalgamation as contemplated herein on the Closing Date.
Articles of Amalgamation. The articles of Amalco shall be the Articles of Amalgamation.
