ASB'S REPRESENTATIONS AND WARRANTIES. ASB represents and warrants to HHC and Xxxxxxx Bank as follows: for purposes of this Agreement, except in Section 6.1 and where the context requires otherwise, any reference to ASB in this Article 6 shall be deemed to include ASB and Bank and any reference to "material," material adverse effect or a similar standard shall refer to the financial condition, operations or other aspects of ASB and Bank taken as a whole, except that no reduction of earnings for stockholders' equity of ASB or Bank shall be considered material unless such reduction is 10% or more of earnings for the comparable period after eliminating any earnings as a consequence of XXXX, or 10% or more of stockholders' equity at September 30, 1998.
