Common use of Assignee’s Acceptance and Agreement Clause in Contracts

Assignee’s Acceptance and Agreement. The Company need not recognize, for any purpose, any transfer of all or any fraction of a Unit unless there shall have been filed with the Company and recorded on the Company’s books a duly executed counterpart of the instrument of assignment and such instrument evidences the written acceptance by the Assignee of and the Assignee’s agreement to be bound by all of the terms and provisions of this Agreement.
