ASSIGNMENT AND MORTGAGE. Neither the demised premises nor any portion of it shall be sublet nor shall this Lease or any interest in it be assigned, hypothecated, or mortgaged by Lessee and any attempt at assignment, subletting, hypothecation, or mortgaging of this Lease shall be of no force or effect and shall confer no rights upon any assignee, sublessee, mortgagee, or pledgee.

ASSIGNMENT AND MORTGAGE. The demised premises or any portion thereof shall not be sublet, nor shall this leave or any interest therein be assigned or mortgaged by LESSEE, and any attempted assignment, subletting, or mortgaging of this lease shall be of no force or effect, and shall confer no rights upon any assignee, sub lessee, or mortgagee. In the event that LESSEE shall become legally incapacitated, bankrupt, or insolvent, or should a guardian, trustee, or receiver be appointed to administer LESSEE’s business or affairs, neither this lease nor any interest herein shall become an asset of such guardian, trustee, or receiver, and in the event of any appointment of any such guardian, trustee, or receiver, this lease shall immediately terminate and end.
ASSIGNMENT AND MORTGAGE. The Borrower agrees that the Lender is allowed, at its own discretion, to assign or mortgage its rights and obligations under this Contract to any third party which purchases debts or receive mortgage of receivables in accordance with the Vietnamese laws. In case of assignment, if the Borrower disagrees with the assignment, then within 15 days from receipt of the Lender’s assignment notice, the Borrower is entitled to early terminate the loan without early termination fee. The Lender is obliged to inform the Borrower about the assignment in accordance with provisions of law.

The consent by Landlord to an assignment or subletting shall not in any way be construed to relieve Tenant from obtaining the express consent in writing of Landlord to any further assignment or subletting. Tenant shall be required to pay all costs, including reasonable attorney’s fees, incurred by Landlord for reviewing and documenting any assignments, subleases, or other transfers of the Lease requested by Xxxxxx.

ASSIGNMENT AND MORTGAGE. (a) Lessor may assign this Lease, and may grant a mortgage on, or security interest in, any Equipment to any such assignee, in whole or in part, without notice to, or the consent of, Lessee. Each such assignee shall have all of the rights but none of the obligations of Lessor under this Lease and Lessee shall, upon receipt of written notice thereof, recognize each such assignment and mortgage or security interest and shall accept and comply with the directions or demands given in writing by any such assignee. Lessee shall not assert against such assignee any defense, counter-claim or set-off that Lessee may have against Lessor. However, nothing herein shall relieve Lessor from its obligations to Lessee hereunder. After any such assignment this Lease may not be amended or modified without the prior written consent of any such assignee. Upon any assignment of this Lease or the granting of any mortgage on, or security interest in, any of the Equipment, Lessor or its assignee may record any instruments relating to the assignment, mortgage, or security interest desired by Lessor or such assignee in accordance with the laws of appropriate jurisdictions. (b) Without prior written consent of Lessor, Lessee shall not assign, pledge, mortgage or hypothecate this lease or any of its rights under this Lease or sell or sublet any Equipment leased hereunder or otherwise permit any Equipment to be used by or come into the possession of anyone other than Lessee.
