Assignment by Bank. The Bank may assign all or any part of its rights under any of the Security Documents to any other bank or financial institution (an “Assignee”) without the consent of the Borrowers, but after consultation with them.
Assignment by Bank. The Bank may assign all or any part of its rights under this Agreement, the Master Swap Agreement (notwithstanding the terms of Section 7 of the Master Swap Agreement) or under any of the other Security Documents to any other bank or financial institution (an “Assignee”) without the consent of the Borrowers (the Borrowers consenting to any such assignment by their execution of this Agreement).

Assignment by Bank. Bank may, from time to time, without notice to the Borrower, participate, sell, assign, transfer or otherwise dispose of all or any part of the Obligations and/or the Collateral therefor. In such event, each and every immediate and successive purchaser, assignee, transferee or holder of all or any part of the Obligations and/or the Collateral shall have the right to enforce this Agreement, by legal action or otherwise, for its own benefit as fully as if such purchaser, assignee, transferee or holder were herein by name specifically given such rights. Bank shall have an unimpaired right to enforce this Agreement for its benefit to that portion of the Obligations as Bank has not sold, assigned, transferred or otherwise disposed of.
Assignment by Bank. Notwithstanding the foregoing in Section 5.01, Bank may assign its rights under this Agreement with the prior written approval of the City. Bank assignment for the purposes of refinancing its EE Loan portfolio is contemplated, and the City will support and cooperate with this effort. In the event of such assignment, the City will direct Bank as Escrow Agent to effect and document such assignment and Bank as Escrow Agent will do so as directed by the City.
Assignment by Bank. The Bank may not assign all or any part of its rights or transfer by novation any of its rights and obligations under this Agreement to any other person (an “Assignee”) without the prior written consent of the Borrower.
Assignment by Bank. This Agreement may and shall be assigned or transferred to, and shall be binding upon and shall inure to the benefit of, any successor or assignor of the Bank, and any such successor or assignor shall be deemed substituted for all purposes of the "Bank" under the terms of this Agreement. Bank may at any time sell, assign, grant participation in or otherwise transfer to any other person (each, a “Participant”) all or part of the Loan, and each Participant shall have the rights and liens provided hereunder and under the other Loan Documents to the same extent as Bank.
Assignment by Bank. 12.0 If at any time or times, by assignment or otherwise, Bank transfers or assigns any Obligations and/or security therefor, such transfer shall carry with it the power and rights of Bank under this Agreement with respect to the Obligations and security assigned or transferred and the assignee or transferee shall become vested with said powers and rights whether or not they are specifically referred to in the transfer or assignment. If and to the extent Bank retains any Obligations or security, Bank shall continue to have the rights and powers herein set forth with respect thereto.
