Assignment by the Purchaser. The Purchaser may assign, pledge or transfer by way of security its rights under this Agreement to a security trustee or similar person appointed in relation to a finance transaction without restriction and without the need to obtain the consent of the Seller or any other person.
Assignment by the Purchaser. 13.1. The Purchaser covenants and warrants that it is not purchasing the Property for the purpose of land speculation. The Purchaser shall not re-sell, transfer, subdivide, assign or otherwise dispose of its right, title, interest or equity in or to the Property, or any part thereof, without first obtaining the written consent of the Village, which may be arbitrarily withheld by the Village. Any such consent shall be subject to the parties entering into an assignment agreement with the third party satisfactory to the Village, which shall include a term stating that notwithstanding any assignment or transfer, the Purchaser shall remain liable to the Village for the fulfillment of the terms and conditions set out in this Agreement.
Assignment by the Purchaser. The Purchaser may assign or encumber all or any part of its rights or benefits under this Agreement without the consent of any party. Consequently the Purchaser may disclose to a prospective assignee or to any other person who may propose entering into contractual relations with the Purchaser in relation to this Agreement such information about the Sellers or the Receivables as the Purchaser shall consider appropriate.
Assignment by the Purchaser. It is declared and confirmed that the Purchaser shall not be entitled to transfer/assign the benefits of this agreement in favor of any third person(s) without obtaining the prior written approval of the Developer, provided however such approval shall not be unreasonably withheld subject to (i) the payment of a sum @ Rs.100/- (Rupees Hundred) per sq. ft/of the Chargeable Area of the said Unit(s) plus applicable taxes to be paid by the Purchaser to the Developer as charges/pre-determined damages for such transfer/assignment, (ii) consent from the Bank/Financial Institution from which the Purchaser has obtained home loan finance and/or financial assistance (if applicable) and (iii) expiry of 12 months (lock-in period) from the date of this Agreement during which it is agreed that the Purchaser shall not be entitled to seek permission of the Vendor/Developer for any assignment. In the event of such transfer/ assignment, the assignee shall be obliged to fulfill and observe all the covenants and obligations of the Purchaser under this Agreement, including those that remain unfulfilled by the Purchaser even retrospectively at the time of such assignment.
Assignment by the Purchaser. The Purchaser is entitled, however, to assign the rights under this agreement to the financing banks for purposes of financing the transaction stipulated in this Agreement. In the event of such an assignment, the Purchaser shall ensure the performance of the assignee's duties under this Agreement.
Assignment by the Purchaser. Purchaser shall be entitled to assign this Agreement or the Order, and Supplier absolutely accepts such assignment without any possible contestation.
Assignment by the Purchaser. The Purchaser may not assign its rights under this Agreement without the Sellers' prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed. The foregoing notwithstanding, the Purchaser shall have the right to assign this Agreement without the Sellers' consent to any entity which controls, is controlled by, or is under common control with any of the Purchaser, The Baupost Group, L.L.C., AG Special Situations Corp., Xxxxxx Capital Group and/or Xxxxx X. Xxxxx (or any of their respective Affiliates).
Assignment by the Purchaser. The Purchaser will not sell, transfer, assign or otherwise dispose of all or any part of the interest in this Agreement without the prior written consent of the Seller, which consent will not be unreasonable withheld. Assignment by the Purchaser. Upon and subject to the terms of the Asset Purchase Agreement, effective on the Closing Date, the Vendor hereby assigns and transfers to the Purchaser all of the Vendor’s and the Debtors’ right, title, benefit and interest under or in respect of the Assigned Contracts.
Assignment by the Purchaser. Any assignment of any of the Purchaser's benefits or obligations under this contract, with or without the Vendor's consent, does not release the assignor from existing or future obligations under this contract.
